Senior Manager/Assistant Vice President - Legal - Banking & Finance/Real Estate/Private Equity

We are looking for a highly accomplished and experienced legal professional to join our team. The ideal candidate will be a strategic thinker who can proactively manage legal risks, advise on structuring of transactions and be updated with the latest regulations pertaining to IBC, real estate, banking & finance and private equity. This role requires a professional who is adept at handling a wide range of legal functions, from drafting complex agreements to managing high-stakes litigation and acting as the primary liaison with legal counsels

Experience in Banking & Finance, Real Estate and Private Equity

- Real Estate Transactions: Draft, review and negotiate a variety of structured legal documents including title search reports, joint development agreements, sale deeds, debenture trust deed, shareholders agreement and other security documents with respect to the investments through the real estate funds.

- NBFC Lending Transactions: Draft, review, negotiate and finalize transaction documents with respect to the investments by the private credit fund and NBFC through various structures including NCD's, OCD's or term loans and liaison with third party counsels for the due diligences on the portfolio entities

- Litigation & Dispute Resolution: Advise on all aspects of litigation/arbitration proceedings. This includes drafting legal pleadings, managing external counsels, preparing for and attending court hearings, and representing the company in various legal forums, including the National Company Law Tribunal (NCLT) and SARFAESI.

Bachelor of Law (LL.B.) or Master of Law (LL.M.) from a recognized university.

- 8-10 years of proven experience with exposure to real estate, private credit and lending transactions

- Extensive hands-on experience in drafting, vetting, and negotiating transaction documents

- Demonstrated experience in handling and resolving high-value litigation, arbitration, and regulatory enforcement actions.

- Exceptional legal drafting, vetting, and analytical skills, with a meticulous attention to detail.

- In-depth knowledge of IBC, SEBI and RBI Regulations, including those specific to lending by NBFC's and AIF's

- Strong understanding of legal procedures for arbitration and court proceedings, particularly within the Indian legal system

- Excellent communication, and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.

- Ability to work independently, and thrive in a dynamic, high-pressure environment
