Senior Manager/Assistant General Manager - Legal - Manufacturing

Commercial Contracts & Advisory:

- Draft, review, and negotiate complex cross-border commercial contracts including sourcing, manufacturing, supply, distribution, licensing, and JV agreements

- Drive standardization of contracting frameworks across jurisdictions

- Advise business teams on risk allocation, liability structuring, and mitigation strategies

Mergers & Acquisitions / Strategic Transactions:

- Support end-to-end execution of M&A, joint ventures, and investment transactions across global markets

- Lead/assist in legal due diligence, risk identification, and transaction structuring

- Draft and review transaction documentation (SHA, SPA, SSA, TS, etc.) and support closing processes

- Collaborate with investment, finance, and business teams on strategic initiatives

Dispute Management & Litigation:

- Manage domestic and international disputes (commercial, civil, regulatory)

- Coordinate with external counsels across jurisdictions (India, UK, Bangladesh, etc.)

- Handle legal notices, pre-litigation strategy, and settlement discussions

- Track legal exposure and drive risk-based dispute resolution strategies

Global Legal & Regulatory Advisory:

- Advise on international legal frameworks including cross-border transactions, FDI/FEMA, and regulatory compliance

- Support global subsidiaries on local legal matters directly or through external counsel

- Ensure alignment with group-level governance and compliance frameworks

Governance, Compliance & Risk Management:

- Support implementation of group-wide legal policies, ESG standards, and anti-bribery frameworks

- Strengthen contractual safeguards including indemnities, audit rights, and termination provisions

- Assist in developing legal playbooks, templates, and SOPs for global teams

Process & Capability Building:

- Drive standardization and efficiency in legal processes across the Group

- Support continuous improvement initiatives within the legal function and decision-making.

- Drive follow-ups across functions to ensure timely closure of tasks.
