
Job Title: Senior Legal Specialist SAT Matters / Securities Litigation

Role Overview:
Key Responsibilities:
Litigation & Dispute Resolution
- Represent clients before the Securities Appellate Tribunal (SAT), Supreme Court, High Courts, NCLT, NCLAT, and other regulatory forums.
- Handle securities market litigations including insider trading, takeover code violations, market manipulation, and SEBI adjudication proceedings.
- Manage IBC-related disputes, asset recovery, and insolvency resolution proceedings.
- Draft pleadings, written submissions, interlocutory applications, affidavits, and appellate briefs for litigation matters.
Corporate & Commercial Law
- Conduct legal due diligence for M&A, joint ventures, private equity, and structured finance transactions.
- Draft, review, and negotiate shareholders agreements, share purchase agreements, financing documents, and commercial contracts.
- Advise on corporate governance, board processes, and compliance frameworks.
Regulatory & Compliance Advisory
- Provide legal interpretation and advisory on Companies Act, 2013; SEBI regulations; FEMA; IBC; IRDAI; RBI guidelines; and allied corporate legislations.
- Assist in regulatory inspections, inquiries, and investigations.
- Prepare and present legal opinions, position papers, and advisory notes on securities laws and corporate compliance matters.
- Draft and review compliance manuals, policy documents, and risk mitigation frameworks.
Stakeholder Management
- Collaborate with internal business and compliance teams to align legal strategy with business objectives.
- Liaise with external counsels, law firms, and regulatory authorities to effectively manage legal proceedings.
- Support investor negotiations, corporate structuring, and shareholder communication.
Educational Qualifications:
- LL.B (Mandatory) from a recognized university.
- LL.M (Preferred) in Corporate Law, Business Law, or Securities Law.
Skills & Competencies:
- Excellent legal drafting, research, and analytical skills.
- Ability to strategize litigation and negotiate settlements effectively.
- Proficiency in interpreting and applying securities laws, insolvency laws, and corporate regulations.
- Strong communication and stakeholder management skills.
- Ability to manage multiple assignments under strict deadlines
