The position is with Well known company and they are looking for Senior Counsel - Legal

Reporting to: Group General Counsel

What is the purpose of the role?

Support and value add in documentation for financing, Joint Ventures, Mergers and Acquisitions, corporate matters, contracts and Intellectual property matters, due-diligence findings, legal research and preparation of reports

Key Responsibilities

Documentation:

- Reviewing, drafting, and negotiating high-value and complex contracts including joint ventures, partnerships, distribution agreements, IT vendor contracts, and outsourcing arrangements.

- Corporate documentation including fund raising / external debt, security creation.

- SHA and SPA, Term Sheet, Transaction documentation for M & A deals and acquisitions, NCLT related and correspondence with regulatory bodies such as RBI, IRDAI, SEBI, CCI and with enforcement agencies.

- Assist in standardization of agreements, drafting of policies and Processes.

Intellectual Property management:

- Developing IP Policy and Processes, Registrations / Safeguards through documentation

- Protection against counterfeit products, IP Monetization framework documentation

- IP Audit, Gap Analysis and strategy to mitigate gaps

Due Diligence:

- Liaison with law firms for DD requisitions, facilitation in setting up data room

- Prepare and review Reports and Findings

- Highlight sector specific risks, include in DD and show mitigating actions for internal review

Legal Advisory and identification of legal risks:

- Research and support on opinions/replies to be given on specific queries from Group Companies.

- Examine the extant laws and legal matrix and evolve advice in light of the factual situation

- Identify potential legal risks and provide advice on risk management strategies to mitigate these risks.

- Support Group companies in new areas of law, advisory and regulatory aspects.

- Promote the culture of automation and digitization for legal function.

Skills & Competencies:

- 10 to 12 years post qualification [i.e post LLB] Work Experience.

- Preference for having law firm or corporate exposure of at least 4 -5 years.

- Preference for candidates working in Law Firms in areas of Corporate or M&A and Project Finance. or having worked in corporate centers of companies/large Groups or Multinationals.

- Strong Documentation skills having exposure to creating and vetting various types of documents.

- Experience of legal research of case laws and judgements suitable to situations.

- Good knowledge and firm basics on Corporate Law, Trust Law and abreast with latest developments in law.

- Team player with ability to add value adapt and handle diversity of work and face deadlines and delivery milestones.

- Good communications and analytical skills, attention to detail and soft skills to interact with Senior Leadership.
