Senior Compliance Officer - Corporate Secretarial & Legal

Location: Lucknow, Uttar Pradesh

Experience: 6 - 10 years

Key Responsibilities:

- Own compliance under the Companies Act, 2013, including MCA/ROC filings, statutory registers and corporate records.

- Manage Board, Committee and shareholder meetings, resolutions, minutes and corporate approvals.

- Handle share capital, fundraising, investor matters, ESOPs and shareholder obligations.

- Build and maintain an organisation-wide legal and statutory compliance framework and calendar.

- Support review and management of commercial contracts, licences, regulatory matters and legal notices/disputes.

- Coordinate due diligence, corporate governance, related-party transactions, KYC/beneficial ownership and IP compliance.

- Manage external counsel and advisors, ensuring timely closure and internal ownership of legal/compliance matters.

- Provide senior management with clear visibility on key obligations, deadlines and legal risks.

Candidate Profile:

- 6 - 10 years of relevant experience in corporate secretarial, legal, compliance or governance roles.

- Qualified Company Secretary (CS) strongly preferred; LL.B. would be an advantage.

- Strong practical knowledge of the Companies Act, MCA processes and corporate governance.

- Experience with fundraising/VC-PE transactions, share issuances, ESOPs, shareholder agreements and due diligence preferred.

- Strong drafting, documentation, stakeholder-management and problem-solving skills.

- Ability to work independently, exercise sound legal judgment and challenge stakeholders where required.

- Strong ownership, attention to detail and a bias for closure.
