Position: Senior Associate - General Corporate and Transactions

Practice: General Corporate and Transactions - Emerging Technology and Product Advisory

Role Overview:

We are looking for a commercially sharp and intellectually curious Senior Associate to join our General Corporate and Transactions practice. The role combines general corporate advisory, transactions, commercial contracting and product-facing regulatory work, with meaningful responsibility from the outset.

The candidate will work closely with founders, CXOs and business teams in emerging and tightly regulated areas where the law may be evolving or commercially difficult to apply. The ability to understand the technology and business context, identify the real legal issue and deliver practical advice is essential.

Key Responsibilities:

- Corporate advisory: Advise startups, growth-stage businesses and established companies on structuring, governance, board and shareholder matters, statutory compliance, foreign investment and practical policies or frameworks.

- Transactions: Lead and support venture capital and strategic investments, joint ventures, business or asset transfers and restructurings, managing workstreams from structuring and due diligence through signing and closing.

- Transaction documents: Draft and negotiate term sheets, subscription and shareholders' agreements, investment agreements, share purchase and business transfer documents, and ancillary closing documents; translate diligence and negotiation issues into clear protections.

- Commercial contracts: Draft and negotiate SaaS, technology, licensing, services, platform, supply, manufacturing, distribution, partnership and cross-border agreements, with clear rights, obligations, remedies and commercially workable risk allocation.

- Emerging products and regulation: Advise businesses in areas such as AI products, drones and UAVs, defence technology, digital platforms, SaaS, data-driven products and regulated marketplaces; understand product flows, assess difficult regulatory questions and propose defensible paths forward.

- Client ownership: Independently manage clients and defined matters with partner oversight, from intake and scoping through drafting, negotiation, advice and closure; maintain control of priorities, timelines, versions, updates and next steps.

- Stakeholder leadership: Lead calls and communicate confidently with founders, CXOs, legal, product, finance and operations teams, investors, consultants and external counsel; manage expectations and turn legal complexity into clear business decisions.

- AI-enabled delivery and team development: Use AI responsibly to improve research, drafting, review and workflows while verifying outputs and protecting confidentiality; supervise juniors and strengthen templates, playbooks and know-how.

Candidate Requirements:

- 3-6 years of post-qualification experience in general corporate, transactional and commercial advisory work at a law firm, chamber practice or strong in-house legal team.

- Substantial hands-on experience drafting, reviewing and negotiating corporate, investment, transaction and commercial documents.

- Demonstrated ability to independently manage clients with partner oversight and own matters from instruction through delivery.

- Demonstrated ability to lead stakeholder conversations, present advice clearly and build confidence with business and legal teams.

- Strong written and spoken communication, commercial judgment, attention to detail and negotiation skills.

- Deep interest in technology, products and emerging regulation, with the ability to understand unfamiliar business models and technical concepts quickly.

- Practical experience using AI and modern work tools to improve legal output, with appropriate verification, confidentiality and professional judgment.

- Strong research ability, comfort with legal uncertainty and disciplined management of multiple matters, deadlines, versions and stakeholders.
