Role Overview:

- We are looking to hire a Senior Associate - General Corporate with strong transactional experience to support and lead complex corporate matters.

- This role is ideal for a lawyer passionate about deal-making, structuring transactions, and working closely with clients on strategic corporate matters.

- The incumbent will play a key role in handling M&A, Private Equity & Venture Capital investments, and Joint Ventures, while working closely with partners and clients across sectors.

Key Responsibilities:

Mergers & Acquisitions (M&A):

- Advise on domestic and cross-border M&A transactions.

- Conduct and manage legal due diligence.

Draft, review, and negotiate transaction documents including:

- Share Purchase Agreements (SPA)

- Shareholders' Agreements (SHA)

- Asset Purchase Agreements

- Business Transfer Agreements

- Support deal structuring and transaction execution.

Private Equity & Venture Capital:

- Advise PE/VC funds, founders, and portfolio companies on investments and exits.

- Draft and negotiate investment documents, term sheets, and shareholder arrangements.

- Handle follow-on funding rounds and exit transactions.

Joint Ventures & Strategic Transactions:

- Structure and advise on joint ventures, strategic alliances, and collaborations.

- Draft JV agreements, commercial contracts, and governance frameworks.

- Support negotiations between domestic and international partners.

General Corporate Advisory:

- Advise clients on corporate law, Companies Act compliance, and governance matters.

- Draft and review corporate documents, board resolutions, and policies.

- Support clients on restructuring, commercial contracts, and corporate advisory matters.

Client & Stakeholder Management:

- Work directly with clients, counsels, and transaction stakeholders.

- Coordinate with internal teams and supervise junior associates.

- Ensure timely delivery and high-quality execution of matters.

Key Performance Areas (KRAs):

- Quality and efficiency of transaction execution

- Drafting and negotiation effectiveness

- Client satisfaction and responsiveness

- Deal closure timelines and accuracy

- Team collaboration and supervision

Ideal Candidate Profile:

Mandatory Requirements - 4-7 years of experience in General Corporate / Transactional practice

Strong hands-on experience in:

- Mergers & Acquisitions

- Private Equity & Venture Capital

- Joint Ventures

- Transaction experience is mandatory

- Experience working with a law firm or a strong corporate legal practice

Preferred:

- Exposure to cross-border transactions

- Experience working with PE/VC funds or startup ecosystems

- Strong drafting and negotiation skills
