Role Overview

We are seeking an experienced and proactive Company Secretary to manage and oversee listed company compliances, corporate governance practices, and regulatory advisory. The role requires strong expertise in SEBI regulations, stock exchange compliance, Companies Act matters, and board governance, along with the ability to guide senior management on compliance risks and best practices.

Key Responsibilities

1. Listed Entity Compliance

- Ensure end-to-end compliance with SEBI LODR, SAST, PIT Regulations, Companies Act, and other applicable corporate laws

- Manage stock exchange filings (BSE/NSE), including timely submission of:

- Financial results

- Shareholding patterns

- Corporate governance reports

- Outcome of Board & Committee meetings, Disclosure of material events

- Monitor insider trading compliances including PIT regulations, trading window closures, and disclosures

- Oversee compliance related to RPTs (Related Party Transactions) and disclosures

2. Board & Committee Management

- Prepare and circulate notices, agendas, and board/committee papers

- Draft minutes of Board, Committee, and General Meetings

- Advise the Board on corporate governance norms and regulatory developments

- Ensure proper documentation and maintenance of statutory registers and records

3. Corporate Governance & Advisory

- Guide management and Board on governance best practices

- Support implementation of governance policies, codes of conduct, and internal compliance frameworks

- Conduct compliance checks and secretarial audits; coordinate with auditors and regulators

4. Regulatory Liaison

- Act as the point of contact for Stock Exchanges, SEBI, ROC, Depositories, and other regulators

- Handle regulatory inspections, notices, and responses

5. Secretarial & Legal Support

- Manage annual filings, annual report disclosures, and AGM-related compliances

- Assist in corporate actions such as:

- Dividend declaration

- Bonus/rights issues

- ESOP matters

- Alteration of capital

- Support due diligence, restructuring, and transaction-related secretarial matters

6. Compliance Monitoring & Reporting

- Develop and maintain a compliance calendar

- Provide periodic compliance status reports to senior management

- Track changes in laws and proactively implement necessary updates

Qualifications & Experience

- Qualified Company Secretary (CS)

- 5 - 8 years of post-qualification experience, preferably with a listed company or a CS/Law Firm with experience of working with Listed Clients

- Strong working knowledge of:

- SEBI LODR,SAST Regulations

- SEBI PIT Regulations

- Companies Act, 2013

- FEMA (intermediate knowledge preferred)

Key Skills & Competencies

- Strong drafting and documentation skills

- Excellent understanding of corporate governance frameworks

- High level of integrity and discretion in handling confidential matters

- Ability to interact with senior leadership and board members confidently

- Strong analytical and problem-solving ability

- Good coordination and stakeholder management skills

- Ability to work under deadlines and manage multiple compliances simultaneously

Preferred Attributes

- Experience in handling board processes independently

- Exposure to listed entity secretarial audits

- Familiarity with compliance tools and stock exchange filing portals
