Rosmerta Technologies Limited Rosmerta Technologies Limited, a leading provider of smart card and IT solutions for the automotive industry, is seeking a highly experienced and qualified Company Secretary - Head to join our team. We are looking for a strategic leader with extensive experience in corporate governance, statutory compliance, and legal affairs for listed companies. Key Responsibilities: - Corporate Governance & Compliance: Ensure adherence to all secretarial, statutory, and regulatory requirements, including Listing Obligations and Disclosure Requirements (LODR) for BSE-listed companies, SEBI regulations, and ROC regulations. - Board & Shareholder Relations: Coordinate and manage all Board and Shareholder meetings, including preparing agendas, minutes, and related documentation. - Provide high-level advisory support to the Board of Directors on corporate governance matters. - Statutory Records & Reporting: Maintain all statutory records, including Minutes, Statutory Registers, and Corporate Policies. - Oversee all corporate reporting and disclosure requirements to relevant authorities. - Legal & Corporate Affairs: Handle all legal matters, including litigation and contracts. - Provide advisory support for corporate restructuring, divestitures, M&A activities, and company incorporation. - Shareholder & ESOP Administration: Coordinate with shareholders and transfer agents to manage shareholder servicing and monitoring. - Administer and manage the company's ESOP (Employee Stock Ownership Plan) scheme. - Audit & People Management: Oversee Pan-India statutory audits and manage the secretarial and legal teams. Required Qualifications & Experience: - Qualification: Must be a qualified Company Secretary (CS). - An additional LLB degree is highly preferred. - Experience: A minimum of 15+ years of post-qualification experience, with significant expertise in secretarial and legal roles within a listed company. - Experience in handling an IPO (Initial Public Offering) is a must. - Skills: Strong knowledge of corporate law, excellent communication and interpersonal skills, and proven leadership abilities in managing teams. Location: This is a full-time, on-site position at our office in Vatika Tower, 66, Gurgaon/Gurugram, Sector 44, near the Huda/Millennium City Metro station.
