Responsibilities:

- Independently handle corporate legal, transactional and advisory matters for the Group and its subsidiaries.

- Draft, review, negotiate and close complex corporate, commercial and financial transactions and agreements.

- Strong experience in large Retail, SME lending, Mortgage, Loan Against Property, Loan Against Shares, Vehicle Loans, Personal Loan documentation and Corporate lending legal documentation, such as structuring of transitions, devise and draft loan and other documents including loan/facility agreements, sanction letters, mortgage, hypothecation, pledge, assignment and guarantee documentation.

- Experience in borrowings and fund-raising transactions, including term loans, NCDs, secured/unsecured financing, security trustee and debenture documentation.

- Advise on RBI, SEBI, IRDAI and Companies Act requirements applicable to NBFCs/CICs, listed companies, insurance and broking businesses.

- Handle listed-company legal and corporate governance matters, including Board/shareholder matters, RPTs, regulatory approvals and SEBI/stock-exchange requirements.

- Provide legal support for group restructuring, intra-group transactions, investments, M&A and other strategic transactions.

- Draft and negotiate commercial and corporate contracts, including NDAs, MSAs, service agreements, SaaS/licensing agreements, vendor agreements and SOWs.

- Advise senior management on legal risks, transaction structures, contractual obligations and risk mitigation.

- Manage external counsels independently, including scope, engagement terms, costs and delivery.

Key Skills:

- Strong transactional and drafting skills with the ability to independently lead matters from structuring through execution and closure.

- Practical understanding of financial-services regulations and lending/borrowing transactions.

- Ability to manage multiple stakeholders across legal, business, finance, treasury, compliance and secretarial functions.

- Strong commercial judgment, negotiation, communication and risk-assessment skills.

- Ability to work independently with minimal supervision and take ownership of matters.

- Prior experience in managing external counsel and/or junior team members preferred.

Qualification:

- Law degree (LLB/LLM) from a reputed University in India.

Mandatory Experience - 10+ years of post-qualification experience in NBFC / Retail Lending.
