RESPONSIBILITIES:
Strategic Legal Leadership:
- Act as the primary legal advisor to the leadership team on corporate, commercial, regulatory, and strategic matters across GreenLines businesses
- Support management in evaluating legal implications of business strategies, expansion plans, partnerships, and new initiatives
- Provide clear, solution-oriented legal advice that balances risk, speed, and business priorities in a fast-growing organisation
Corporate & Transactional Matters:
- Lead and manage corporate transactions, including strategic investments, acquisitions, joint ventures, asset purchases, and restructuring initiatives, as applicable to GreenLines growth roadmap
- Review, draft, negotiate, and finalise complex commercial agreements including:
- Shareholder and investment agreements
- Joint venture and partnership agreements
- Vendor, OEM, leasing, financing, and service contracts
- Logistics, transportation, and fleet-related agreements
- Identify legal risks in transactions and propose commercially viable mitigations, ensuring smooth execution and implementation
Contracts & Commercial Support:
- Provide end-to-end legal support to business, operations, procurement, finance, and HR teams
- Develop and maintain standard contract templates, playbooks, and negotiation frameworks for recurring business arrangements
- Ensure timely and business-friendly contract turnaround without compromising legal robustness
Regulatory, Compliance & Risk Management:
- Ensure compliance with applicable Indian laws and regulations, including Companies Act, contract laws, labour laws, motor vehicle and transport regulations, environmental and ESG-related requirements
- Support implementation and monitoring of corporate governance, compliance frameworks, and internal controls
- Proactively identify, assess, and manage legal and regulatory risks across operations and projects
External Counsel & Stakeholder Management:
- Manage and coordinate with external legal counsel, ensuring the right expertise, cost efficiency, and quality of advice
- Provide clear instructions, review outputs, and control external legal spend
- Act as a bridge between business teams and external counsel to ensure alignment on objectives and timelines
Litigation & Dispute Oversight:
- Oversee litigation, disputes, claims, and regulatory matters, working closely with external counsel
- Advise management on dispute resolution strategies with a focus on commercial outcomes and risk containment
Team Leadership & Capability Building:
- Build, mentor, and lead a lean, high-impact legal team
- Set clear goals, review performance, and ensure continuous upskilling of team members
- Promote a collaborative, responsive, and business-first legal culture

CANDIDATE PROFILE:
Ideal Experience:
- LL.M. (preferred) or equivalent postgraduate qualification in Law from a recognised university
- 10-15+ years of relevant experience in a prestigious law firm and/or in-house role, preferably within infrastructure, logistics, transportation, energy, or asset-heavy businesses
- Strong experience in corporate transactions, commercial contracts, and regulatory advisory in the Indian context
- Demonstrated ability to work closely with senior leadership and influence business decisions
- Proven experience managing external counsel and leading small to mid-sized teams
- Strong commercial acumen with the ability to translate legal complexity into practical business advice
- Excellent communication, negotiation, and stakeholder management skills
- Comfortable operating in a fast-paced, evolving environment with limited bureaucracy
