Designation: Manager - Company Secretary
Location: South Delhi
Role Overview
The Manager - Company Secretary will be responsible for ensuring compliance with the Companies Act, SEBI regulations, RBI regulations applicable to NBFCs, and other applicable corporate laws. The role involves managing board governance, regulatory filings, corporate secretarial functions, and supporting strategic corporate actions, while ensuring adherence to statutory and regulatory frameworks.
Key Responsibilities:
1. Corporate Governance & Board Management
- Manage and coordinate Board Meetings, Committee Meetings, and General Meetings in compliance with the Companies Act, 2013 and Secretarial Standards.
- Prepare agenda notes, board papers, resolutions, and minutes for Board and Committee meetings.
- Ensure proper documentation, circulation, and maintenance of statutory records and registers.
- Advise the Board and senior management on corporate governance practices and regulatory obligations.
2. Regulatory & Statutory Compliance
- Ensure compliance with the Companies Act, 2013 and applicable rules, including filing of forms with the Ministry of Corporate Affairs (MCA).
- Monitor and ensure adherence to RBI regulations applicable to NBFCs, including regulatory filings and policy compliance.
- Ensure compliance with SEBI regulations, particularly in relation to listed debt securities and LODR requirements (if applicable).
- Maintain and update the compliance calendar and track statutory filings and deadlines
3. Secretarial & Corporate Filings
- Manage filings and submissions with MCA, RBI, SEBI, and other regulatory authorities.
- Maintain and update statutory registers, records, and corporate documents.
- Support the execution of corporate actions such as issuance of securities, charge creation/modification, capital restructuring, and related filings
4. Corporate Transactions & Documentation
- Assist in fundraising activities, including issuance of NCDs, equity shares, and other securities.
- Review and support execution of transaction documents, shareholder agreements, and corporate approvals.
- Coordinate with legal advisors, auditors, debenture trustees, and other intermediaries
5. Compliance Monitoring & Advisory
- Monitor regulatory changes and provide timely updates and guidance to management.
- Assist in internal compliance reviews and regulatory inspections.
- Ensure implementation and review of company policies in line with regulatory requirements
Key Skills & Competencies:
- Strong understanding of Companies Act, 2013
- Knowledge of RBI regulations applicable to NBFCs
- Familiarity with SEBI regulations and listed debt compliance
- Strong corporate drafting and documentation skills
- Ability to manage multiple regulatory timelines and filings
- Strong analytical, organizational, and communication skills
Qualification & Experience:
Qualification:
- Member of the Institute of Company Secretaries of India (ICSI)
Experience:
- 6-12 years of relevant experience in corporate secretarial and compliance functions
- Prior experience in NBFC / financial services / listed entities preferred
