Job Title : Legal Analyst - NBFC

Job Summary :

We are seeking a detail-oriented and analytical Legal Analyst to support legal and recovery functions within the NBFC business. The ideal candidate will have hands-on experience in distressed assets, insolvency, restructuring, and secured lending. The role involves conducting legal due diligence, evaluating recovery prospects, managing legal documentation, and supporting enforcement and resolution activities in compliance with applicable regulatory frameworks.

Key Responsibilities :

- Conduct comprehensive legal due diligence for stressed, distressed, and non-performing assets.

- Review and analyze loan agreements, security documents, title deeds, mortgage records, guarantees, and other legal documentation.

- Examine litigation history, court orders, and legal risks associated with borrower accounts.

- Support legal proceedings under the Insolvency and Bankruptcy Code (IBC), SARFAESI Act, Debt Recovery Tribunal (DRT), and National Company Law Tribunal (NCLT).

- Coordinate with Asset Reconstruction Companies (ARCs), Resolution Professionals, legal counsels, valuers, and external consultants.

- Assist in preparing Resolution Plans, legal opinions, transaction documents, term sheets, and due diligence reports.

- Evaluate security enforceability and assess legal recoverability of stressed assets.

- Support acquisition, restructuring, settlement, and resolution of distressed asset portfolios.

- Monitor ongoing litigation, enforcement actions, insolvency proceedings, and recovery milestones.

- Ensure compliance with RBI regulations, insolvency laws, and internal legal governance policies.

- Identify legal risks and recommend appropriate mitigation strategies during transaction evaluation.

- Prepare legal summaries, management reports, case trackers, and documentation for internal stakeholders.

- Collaborate with credit, risk, business, recovery, and compliance teams during transaction execution.

- Maintain accurate legal records, case documentation, and contract repositories.

- Stay updated with amendments to banking laws, insolvency regulations, and financial sector compliance requirements.

Required Skillsets :

- Strong knowledge of the Insolvency and Bankruptcy Code (IBC).

- Hands-on experience with SARFAESI Act proceedings and security enforcement.

- Understanding of Debt Recovery Tribunal (DRT) and NCLT processes.

- Experience in legal due diligence for secured lending and distressed assets.

- Knowledge of loan documentation, security creation, mortgages, guarantees, and title verification.

- Familiarity with restructuring, asset recovery, and insolvency resolution frameworks.

- Understanding of NBFC, banking, and financial services regulations.

- Experience in drafting legal opinions, transaction documents, and legal summaries.

- Ability to assess legal risks, recoverability, and enforcement feasibility.

- Strong contract review and legal documentation skills.

- Knowledge of regulatory compliance and corporate governance practices.

- Strong analytical, research, and legal interpretation capabilities.

- Excellent stakeholder management and cross-functional collaboration skills.

- Proficiency in Microsoft Office Suite and legal documentation tools.

- Strong written and verbal communication skills with attention to detail.

Preferred Qualifications :

- MBA+LLB or Integrated Law Degree from a recognized institution.

- Experience in NBFCs, Asset Reconstruction Companies (ARCs), banks, insolvency firms, or restructuring advisory organizations.

- Exposure to distressed real estate assets and large-ticket lending transactions.

- Knowledge of RBI guidelines, Companies Act, Transfer of Property Act, Contract Act, and related financial laws.

- Experience working with legal case management systems and document management platforms.

- Ability to manage multiple transactions and legal assignments in a fast-paced environment.
