Oraiyan Groups - Assistant Legal Manager

- Transaction Legal Support - Responsible for the legal workstream for M&A, JV, and strategic investment transactions from inception to closure.

- Draft, review, and negotiate definitive agreements including SPAs, shareholders' agreements, term sheets, NDAs, etc.

- Liaise with internal teams, external legal counsels, and counterparties on structuring and risk mitigation.

- Due Diligence: - Oversee legal due diligence processes across target companies and assets.

- Identify key legal risks and provide strategic recommendations to the deal team.

- Corporate Structuring & Compliance: - Provide legal advice on entity structures, cross-border transactions, and regulatory considerations.

- Ensure compliance with Companies Act, SEBI, FEMA, and other applicable corporate laws.

- Stakeholder Engagement: - Work closely with finance, tax, operations, and external advisors to ensure deal execution is legally sound.

- Act as a legal advisor to M&A and leadership team on structuring complex deals.

- Risk & Governance: - Maintain legal checklists, risk matrices, and deal documentation.

- Support the development of internal governance frameworks for investment and acquisition decisions.

Qualifications & Skills: LLB or equivalent law degree from a reputed institution;

- 10+ years of post-qualification experience in a legal role within a corporate M&A or investment context (preferably in-house or with top-tier law firms).

- Exposure to structured finance, cross-border transactions, and regulatory filings.

- Strong negotiation skills and commercial acumen.

- Ability to handle fast-paced, high-value, and confidential transactions with precision.

- Preferred Background: - Candidates from corporate legal teams of conglomerates, large manufacturing groups, infrastructure companies, or Tier 1 law firms with a focus on M&A / PE / Corporate Advisory.

- Experience in IPO preparation, strategic capital raising, or business restructuring is a plus
