We are currently seeking an experienced professional to join our team in the role of Senior Legal Counsel About the role: - We are looking for a " Senior Legal Counsel" to support our rapidly growing team. You will be part of our core legal team that manages all things corporate governance and compliance, negotiate commercial agreements, handle transactions, and work on special projects and other matters unique to a fast growing, growth stage startup. You will be responsible for overseeing all legal matters and corporate secretarial duties, ensuring the company operates within the boundaries of applicable laws and regulations. - We are seeking a highly motivated, self-starter who enjoys working in a dynamic, fast-paced and collaborative environment. This work involves a lot of "doing" versus "managing." We need an all-star attorney who is excited to "roll up his or her sleeves" with drafting agreements and policies while also providing strategic advice. What you'll do: - Contract Management: Review, negotiate, and draft various contracts, agreements with Banks, payment gateways, NBFCs, Merchants. Ensure that legal terms and conditions are favorable to the company's interests and mitigate potential risks. - Litigation and Dispute Resolution: Manage legal disputes, including potential litigation cases. Coordinate with external legal counsel when necessary and represent the company's interests in negotiations and settlements. Build Litigation Strategy in arbitration, NCLT matters, Criminal matters, fraud and recovery matters, consumer matters etc; - Legal Research and Advice: Conduct legal research to provide accurate and up-to-date advice on legal matters, regulatory changes, and industry trends affecting the fintech sector. Communicate legal advice to internal stakeholders in a clear and concise manner. - Corporate Governance: Act as the company secretary and provide support to the board of directors and senior management in matters related to corporate governance. Prepare and maintain board meeting minutes, resolutions, and other corporate records. - Regulatory Compliance: Monitor and ensure compliance with regulatory requirements specific to the fintech industry (RBI, such as data privacy, anti-money laundering (AML), know your customer (KYC), consumer protection, and cybersecurity regulations. - Board Support and Administration: Provide comprehensive support to the board of directors, including scheduling and organizing board meetings, preparing meeting materials, and ensuring compliance with relevant regulations. Act as a key point of contact between the board, senior management, and external stakeholders. Coordinate and oversee the annual general meeting and other shareholder meetings. - Risk Management: Identify and assess legal risks and provide guidance on risk mitigation strategies. Collaborate with cross-functional teams, such as compliance, finance, and operations, to implement risk management measures and ensure adherence to risk management policies. What skills you are expected to have: - LLB (Tier 1 or 2 institute) and Company secretary with 12-18 years of experience - Extensive experience in legal and compliance roles, preferably within the fintech or financial services industry. - In-depth knowledge of relevant laws and regulations governing the fintech sector, such as data privacy, AML, KYC, and consumer protection & understanding of operating licenses such as Payment Aggregator License, Prepaid Payment Instrument License, Bharat Bill Payments Operating Unit License, Corporate Agent License (IRDAI), Registered Investment Advisory License (SEBI) - Strong understanding of corporate governance principles and practices. - Experience managing legal disputes and working with external legal counsel. - Strong interpersonal and stakeholder management skills. - Experience in managing a team of 5-6 legal & CS.
