As Legal Counsel, you will partner closely with business, finance, product, HR, and leadership to manage risk, drive compliance, and enable business growth through proactive legal support. You will lead contract negotiations, M&A due diligence, regulatory compliance, and support key strategic corporate initiatives. You will serve as the go-to legal advisor for high-impact decisions across commercial, corporate, fintech, and regulatory matters-ensuring our operations remain sharp, compliant, and future-ready. Key Roles & Responsibilities Transactions & Strategic Projects - Drive legal due diligence, documentation, and closure of M&A, fundraising, and strategic partnership deals - Draft and negotiate Share Purchase Agreements, Shareholder Agreements, and JV Agreements - Structure investment deals including NCDs, OCPS, and revenue-sharing models in compliance with RBI/SEBI norms Commercial & Corporate Contracts - Draft and negotiate MSAs, SaaS agreements, NDAs, SOWs, DPAs, vendor contracts, and cross-border agreements - Support product and GTM teams on structuring commercial terms with edtech clients and SaaS partners - Advise on contract lifecycle management, dispute risk, and mitigation strategies Corporate Governance & Regulatory Compliance - Prepare and review regulatory filings, ESOP policies, and corporate disclosures - Support implementation of internal control systems and adherence to compliance protocols - Liaise with external legal and regulatory stakeholders to ensure seamless operations and risk mitigation Policy & Compliance Frameworks - Drive internal compliance frameworks (ISO 27001, HIPAA, Code of Conduct, Anti-Bribery, Data Protection) - Implement SOPs for legal documentation, approvals, and digital signing flows - Advise on employment, privacy, and sector-specific regulations Litigation Oversight - Handle notices, disputes, arbitrations, and liaison with external counsels across civil, commercial, and consumer matters - Represent company interests before District Courts, High Courts, NCLT, Consumer Forums as required
