Role Summary:

The Manager / Senior Manager - Legal will be responsible for managing end-to-end legal matters of the NBFC, with a strong focus on lending-related documentation, regulatory compliance, litigation and recovery, and legal risk management. The role requires close collaboration with business, credit, compliance, collections, and external counsels to ensure legally sound and compliant operations aligned with RBI regulations.

Key Responsibilities

1. Legal Advisory & Documentation

- Provide legal advice and guidance to business, credit, operations, and compliance teams on legal risks, structuring, and contractual matters

- Draft, review, and negotiate a wide range of legal documents, including:

- Loan agreements, security documents, guarantees, indemnities, and undertakings

- Vendor contracts, service agreements, NDAs, MOUs, and outsourcing agreements

- Ensure all lending and commercial documents are enforceable and compliant with applicable laws, RBI guidelines, and internal policies

- Support product structuring and documentation for new lending products and partnerships

2. Regulatory & Compliance Support

- Interpret and advise on laws and regulations applicable to NBFC operations

- Support compliance with RBI guidelines, Companies Act, SARFAESI Act, Insolvency and Bankruptcy Code (IBC), Consumer Protection laws, and other relevant statutes

- Assist in handling regulatory inspections, audits, notices, and correspondence with regulators

- Provide legal inputs for policy formulation and updates in line with regulatory changes

3. Litigation & Recovery Management

- Manage and monitor litigation matters, including:

- Debt recovery cases, SARFAESI actions, DRT and DRAT matters

- Arbitration, consumer complaints, and civil litigation

- Coordinate with external advocates, law firms, and recovery agencies

- Review pleadings, notices, and legal opinions, and ensure timely and effective legal action

- Track litigation status and maintain accurate case MIS

4. Risk Management & Governance

- Identify legal risks in lending processes, products, and transactions and recommend appropriate mitigation measures

- Support internal audits, legal audits, and due diligence exercises

- Ensure adherence to internal legal policies, delegation of authority, and governance frameworks

- Assist in documentation and risk assessment for strategic initiatives and partnerships

5. Stakeholder Management & Reporting

- Act as the primary legal point of contact for internal stakeholders including business, credit, compliance, finance, and operations teams

- Liaise with external counsels, law firms, courts, tribunals, and regulatory authorities

- Support senior management with legal opinions, case updates, and management information reports (MIS)

Candidate Profile

Educational Qualification

- LLB / LLM from a recognized Institute or University

Experience

- 10 to 12 years of post-qualification experience

- Mandatory experience in Banking / NBFC / HFC environment

Strong exposure to:

- Banking and NBFC laws

- Lending documentation and security creation

- Litigation and recovery proceedings
