Role Overview:
We are seeking an experienced and qualified LLB cum Company Secretary professional to lead the organization's legal, secretarial, and compliance functions. The role requires a strong understanding of corporate governance, manufacturing and commercial operations, and regulatory frameworks. The incumbent will act as a key advisor to management on legal risks and compliance matters, while ensuring smooth execution of statutory responsibilities under various laws.
Key Responsibilities:
1. Secretarial & Statutory Compliance
- Ensure full compliance with the Companies Act, 2013, FEMA, SEBI, and other statutory regulations.
- Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings, including agenda preparation, minutes, and follow-up actions.
- Handle all ROC filings, statutory registers, and compliance documentation as per legal requirements.
- Liaise with regulatory bodies, auditors, consultants, and legal advisors as required.
- Ensure timely filings and disclosures related to subsidiaries, joint ventures, and group entities.
2. Legal Advisory & Contracts
- Draft, review, and negotiate a wide range of agreements including vendor contracts, distributorship agreements, NDAs, lease and property documents, MoUs, and service contracts.
- Advise internal stakeholders (Sales, Procurement, Projects, Manufacturing, etc.) on commercial and legal implications of business decisions.
- Manage litigation and coordinate with external counsel for civil, commercial, and labor-related matters.
- Provide proactive legal advice to mitigate risks and ensure smooth business operations.
3. Governance & Risk Management
- Support leadership in implementing corporate governance frameworks and ensure adherence to internal control mechanisms.
- Assist in legal due diligence, mergers, acquisitions, and business restructuring, as and when required.
- Track changes in legislation and assess business impact, advising management accordingly.
4. Policies, Processes & Documentation
- Develop and maintain company-wide legal and compliance policies, SOPs, and documentation frameworks.
- Support internal audits and compliance reviews for the group's entities.
- Ensure legal due diligence for vendor and partner contracts.
Desired Candidate Profile:
- Qualification: LLB + Company Secretary (CS) - both mandatory along with IPO experience.
- Experience: 10-15 years of post-qualification experience in handling legal and secretarial functions, preferably in manufacturing / building materials / real estate / industrial sectors.
- Strong knowledge of corporate laws, contract management, regulatory compliance, and property-related legal matters.
- Proven experience in Board management, drafting agreements, and dealing with external legal bodies.
- Excellent communication, drafting, and negotiation skills.
- Ability to manage multiple stakeholders and handle sensitive information with discretion.
