POSITION: Manager Company Secretary
KEY RESPONSIBILITIES:
Role Overview:
We are seeking a highly motivated Company Secretary with 8-10 years of relevant experience in corporate governance, legal and regulatory compliance, and board advisory support. Recent experience of handling end-to-end IPO activity is mandatory. The role involves ensuring end-to-end compliance with applicable corporate laws and regulations, including the Companies Act, 2013, SEBI regulations and other statues.
Key Responsibilities:
- Support in handling IPOs, rights issues, buybacks, preferential issues, and related capital market transactions.
- Draft and review offer documents, due diligence reports, legal opinions, and regulatory filings.
- Liaise with SEBI, Stock Exchanges (NSE/BSE), ROC, and other regulatory authorities.
- Assist in pre-IPO and post-IPO activities, corporate governance reviews, and readiness assessments.
- Coordinate with various intermediaries for the IPO including BRLM, law firms, depository participants, etc.
- Supervise and mentor junior team members and coordinate with external stakeholders.
- Ensure compliance with statutory and regulatory requirements under the Companies Act, 2013, SEBI regulations, and applicable listing obligations.
- Maintain statutory registers, records, and filings with the Registrar of Companies, Ministry of Corporate Affairs, and Stock Exchanges.
- Prepare, circulate, and maintain notices, agendas, minutes, and related documentation for Board Meetings, Committee Meetings, and General Meetings.
- Liaise and correspond with SEBI, Stock Exchanges, ROC, and other regulatory authorities on compliance and governance matters.
- Coordinate with internal teams in Singapore and India, as well as external stakeholders, including auditors, legal advisors, and consultants, to ensure timely and accurate compliance.
- Monitor regulatory changes and support implementation of compliance frameworks and internal controls.
- Advise management and the Board on corporate governance practices, statutory compliance, and regulatory developments.
DESIRED PROFILE:
EDUCATION QUALIFICATION:
Law degree from a recognized university
WORK EXPERIENCE:
- Company Secretary with 10-15 years of relevant experience in corporate governance.
- Strong knowledge of SEBI (ICDR) Regulations, LODR Regulations, SAST Regulations, and the Companies Act, 2013.
- Excellent drafting, communication, and analytical skills.
- Ability to work under tight timelines, meet targets, and manage transactions end-to-end.
