Manager - Legal & Compliance The organization is a premier early-stage Venture Capital firm investing in startups. About the Role : The ideal candidate is someone with experience in venture capital and financial services transactions. Your key responsibilities will be to work on fund investments, exits and all other Fund legal and compliance matters. Key Responsibilities : The role will involve either working with Legal firms or independently managing the following efforts I. Transaction related - Work with the investment team to draft/ and review end to end transactions documents including : 1. Managing end to end investment process including supporting legal due diligence of target company prior to investment, drafting and reviewing share subscription agreement(s) and shareholders agreement(s), reviewing and drafting CP/CS documents, MCA forms, Share certificate, and stamping and executing agreements/documents, etc. 2. Review, negotiation and finalization of investment agreements for both first and follow-on investments. 3. Work with legal firms to conduct due diligence, and help finalise CP/CS findings, finalise the investment documents 4. Be the point of contact and manage and execute all legal and compliance reviews/ requirements related to or coming from the portfolio companies 5. Work closely with the finance team for investment disbursal 6. Help draft general business agreements to engage with advisors, consultants, employees II. Fund Related 1. Assist in structuring new fund vehicles 2. Assist in drafting reviewing agreements with LPs and other partners 3. Manage communication with trustee 4. Handle applicable regulatory compliance with SEBI, RBI, Trustee, etc. Qualification : Lawyer with 4 to 5 years of relevant work experience in VC/PE industry (either as fund counsel or from a law firm) Key Skills/Abilities : 1. Experience working cross-functionally and collaboratively. 2. Excellent spoken and written communication skills 3. Excellent ability to analyse laws and regulations 4. Excellent team leading and management skills 5. In-depth knowledge of companies law, Contract Act, Stamp Act, Foreign Exchange Management Act and SEBI regulations dealing with venture funds 6. Intellectual curiosity and ability to "get smart quick" on a wide variety of topics 7. Proficiency in MS Office
