Manager - Legal & Compliance - LLB/LLM

Role Overview:

We are seeking a Legal & Compliance professional to oversee the legal functions of Avener AIF (SEBI Registered Cat III), Avener Green and Avener Capital. The key responsibilities are listed below:

Key Responsibilities:

Contract & Documentation:

- Draft, review, and negotiate contracts, engagement letters, term sheets, NDAs, and other commercial agreements.

- Ensure legal accuracy, risk mitigation, and protection of business interests in all contract documentation.

- Develop and maintain contract templates and documentation standards.

AIF Compliance (SEBI):

- Ensure compliance with AIF regulations and reporting requirements with SEBI.

- Assist in preparation & submission of regulatory filings, investor communications, and fund governance documentation.

- Maintain the compliance tracker and keep updated records of legal & regulatory matters related to AIF operations.

- Liaise with auditors, trustees, fund administrators and regulators where required.

Renewable Energy Legal Coordination:

- Work closely with internal business teams and external counsel for renewable energy project contracts and due diligence.

- Review land due diligence reports, PPAs, EPC contracts, O&M agreements, and financing documents wherever applicable.

- Assist in regulatory interpretation and compliance related to renewable energy transactions.

Governance & Risk Management:

- Ensure the company's legal policies and frameworks are up-to-date and compliant with statutory requirements.

- Support internal audit, corporate secretarial and governance-related activities.

- Maintain organised records of legal documents, compliance filings, and contract database.

Key Skills & Competencies:

- Strong understanding of SEBI AIF Regulations and compliance framework.

- Experience reviewing legal agreements and drafting commercial contracts.

- Familiarity with renewable energy sector legal documentation and due diligence (preferred).

- Excellent legal research, documentation, and communication skills.

- Ability to work with cross-functional teams and external legal counsel.

- Attention to detail with strong analytical and risk assessment capability.

Qualification & Experience:

- LLB/LLM from a reputed college.

- 3-7 years of experience in a legal & compliance role, preferably in:

- Investment funds / AIFs / NBFCs / Financial services OR

- Renewable energy/ infrastructure advisory or development firms

- Experience in liaising with SEBI/regulators will be an advantage.
