Responsibilities include but are not limited to: 1. Contracts Management: - Drafting of various contracts/agreements related to Franchisee, CFA, export-related, NDA, Marketing Agreements, Market Support Agreements, Service Agreements, Advertising agreements, Transportation agreements, Vendor Agreements, etc. - Drafting of Power of Attorneys and any other kind of documents such as Indemnity Bonds, Declaration cum Undertakings etc. - Preparation of an online database for all live contracts on a Contracts Portal; provide system for receiving system alerts for renewals; keeping all contracts-related information updated online and implement access of authorized personnel to Contracts Portal. 2. Litigation Management - Drafting of various legal documents such as plaints, written statements, case papers, affidavits, notices, writ petitions, appeals, and undertakings etc for various legal proceedings. - Drafting Winding up Petition, Summary suits, Revision Petition and notices, and Complaints under section 138 of (Negotiable Instrument Act). - Attending to all matters related to civil litigations, criminal litigations and arbitrations - Attending to all HR related compliances and HR litigations - Attending to tax litigations w.r.t. GST matters and interact, coordinate and providing support to external Advocates; - Attending to all consumer cases filed, replies to consumer complaints; - Filling of litigations for and on behalf of the Company - Defending litigations filed against the Company - Sending legal notices and replying to legal notices received by the Company - Attend proceedings at Supreme Court, High Courts, City Civil Court, Sessions Court, Debt Recovery Tribunal and Consumer Courts, Industrial Court, Labour Courts, State Commission and National Commission. - Interact and coordinate with the Advocates, Counsels and Senior Counsels and maintain good public relationships - Implement Litigation Online Portal and keep status of all live litigations updated on the Portal w.r.t. next dates of hearing and record proceedings update on a live basis 3. Compliances - FSSAI Licenses - Making new applications, resolving queries (if any) raised by Designated Officers, Renewing FSSAI Licenses, Modification of licenses, filing annual returns (form D) of FSSAI etc. - Plant related compliances - Operating/ managing/ monitoring compliances for plants pan India till final execution or obtaining license/ permission/ approval from Govt. Authority/Authorities. - Taking care of updating compliance data in the software, monitoring the same and renewing the licenses timely and providing necessary support to pant personnel to complete the activity. - Project related compliances - Compliances for New Plant set up with respect to land acquisitions from state industrial development corporations/private land, applications and to obtain approvals, permissions and licenses from concerned state authorities, expansion of existing plants such as Legal metrology, Consent under Pollution Control Board, NOC under Central Ground water authority , FSSAI licenses, Factory licenses etc. - Attending to availing all subsidy, incentives as available to the Company under various States - Taking care of issues pertaining to FSSAI, and LegalMetrology including Resolving queries, replying to notices, if any from aforesaid authorities and maintain good public relationships. 4. Labelling: - Label Approvals- Approving labels all brands to be printed across India as well as that in the international market w.r.t. all legal mandatories. - Approving all market related advertisements in form of danglers, stickers, posters, etc. 5. IPR: - Handling IPR matters including filing new applications, renewal applications, application for associated mark, TM-16 i.e. for amendment / up-dation if any in existing certificate, cease & desist notice, TM-5 i.e. Notice of Oppositions, TM 6 i.e. Counterstatement to the Opposition, Affidavit Evidence, attending TM hearing for clearing objections if any etc. - Coordinating for conducting raids and launching litigations against manufacturers engaged in production of deceptively similar goods - Initiating and attending to all IPR litigations - Attending and advising the Company on all Copyright and Patents Law related issues 6. Company Secretarial matters - Attending to all Company Secretarial compliances under Companies Act, 2013 and other related legislations w.r.t. filing of documents with MCA and maintaining minutes books, statutory registers etc. 7. Other matters: - Coordinating and interacting with advisors for conceptualizing the formation and administration of Family Trust - Advising the management on any other matters from time to time - Attending and advising on all legal matters of group companies - Formation of Pvt. Ltd. And Public Limited Companies - Initiating bill payment process of all advocates & counsels concerned with Legal department till final payment of the bill.
