Job Summary:
We are seeking an experienced and proactive Legal Manager to lead and manage the legal function for our Business-to-Government (B2G) operations.
In this role, you will be responsible for providing strategic legal advice, overseeing contracts and regulatory compliance, managing disputes and litigation, and ensuring governance across all functions.
You will also represent the organization in legal and regulatory forums, especially in matters relating to trusts, public-private partnerships, and compliance with statutory frameworks.
The ideal candidate will have strong expertise in Indian laws, experience in working with government bodies, and an in-depth understanding of legal structures such as public trusts, societies, or charitable institutions.
Key Responsibilities:
Contracts & Agreements:
- Draft, review, negotiate, and manage a variety of contracts, MoUs, government tenders, grant agreements, and service-level agreements.
- Ensure contractual terms protect the organizations legal and commercial interests.
- Maintain a contract management system to track lifecycle, renewals, and compliance obligations.
Advisory & Compliance:
- Provide legal counsel to senior leadership on various matters including statutory compliance, regulatory risks, corporate governance, and policy formulation.
- Ensure timely compliance with applicable laws, including:
Indian Trusts Act, Societies Registration Act, Companies Act
FCRA, Income Tax Act (esp.
for charitable institutions)
Labour laws, RTI, PMLA, and relevant local/state laws
- Liaise with external regulators, charity commissioner, and government departments for licensing, reporting, and audits.
Dispute Resolution & Litigation:
- Manage and supervise litigation strategy, coordinate with external counsels, and represent the organization in courts, tribunals, or quasi-judicial authorities.
- Handle matters related to trust property, employee disputes, contractual disagreements, and statutory notices.
- Maintain records of ongoing and past litigation and legal risks.
Risk Management & Governance:
- Identify potential legal risks and provide risk mitigation strategies.
- Establish and implement internal policies, legal templates, SOPs, and approval workflows for consistent governance.
- Conduct periodic legal audits and internal compliance checks.
Stakeholder Management:
- Act as a key legal interface between the organization and external stakeholders including:
- Government departments & ministries
- Regulatory authorities (Charity Commissioner, ROC, SEBI, FCRA, etc.)
- External legal counsels and auditors
- Educate and train internal stakeholders on legal compliance, data protection, and trust-related governance.
Must-Have Qualifications & Experience:
- 10-20 years of post-qualification legal experience, with a focus on B2G, nonprofit, public-private partnerships, or trust structures.
- Strong understanding of Indian laws, particularly:
Trust laws, FCRA, Income Tax exemptions for charitable institutions
Contract Act, Labour laws, RTI, and litigation procedures
- Experience dealing with charity commissioners office, government authorities, and regulatory filings.
- Proven experience in contract negotiation, litigation management, and regulatory compliance.
- Excellent written and verbal communication skills
