JD | Parameters:
The Company Secretary (CS) with LLB is a key governance and legal role within the organization, responsible for ensuring statutory compliance, maintaining corporate governance standards, and safeguarding the company's legal and regulatory interests. This role plays a pivotal part in overseeing all corporate secretarial functions, contract management, and legal compliance frameworks. The CS-LLB professional will collaborate closely with internal teams, external stakeholders, and regulatory authorities to manage company law obligations, review and draft business-critical agreements, ensure statutory licensing compliance, and provide legal guidance to senior management for informed decision-making.
Key Responsibilities:
1. Contract Vetting & Drafting:
- All agreements and contracts, including but not limited to client agreements, commercial/business agreements, lease/rent agreements, distributor, CFA agreements, and any other contractual documents which has to be executed by the company.
- Ensure legal soundness, clarity, and compliance with applicable laws.
- Identify and highlight commercial, legal, and operational risks in contracts.
- Liaise with internal teams to align business requirements with contract terms.
2. Compliance & Secretarial Work:
- Ensure compliance with Companies Act, 2013 and applicable rules.
- Prepare and file statutory returns (ROC filings, board resolutions, annual filings, etc.).
- Maintain statutory registers and support board/committee meetings.
- Draft minutes, notices, and manage corporate governance activities.
- Advising management and board members on corporate governance best practices, legal requirements and compliance issues.
3. Legal opinions with bare and case laws:
- Provide legal opinions on business transactions, licensing, and operational matters.
- Maintain coordination with external legal counsel whenever required.
- Support dispute resolution, notices, and legal communication.
4. Risk Management:
- Monitor regulatory changes and ensure company documents align with updated laws.
- Conduct due diligence for partners, vendors, distributors, and counterparties.
5. Licensing:
- Ensuring timely compliance with statutory and regulatory licenses such as FSSAI, Pollution Control Board, and other licenses/permissions required for dairy industry operations.
6. Statutory audits, Due Diligence and Internal audit:
- Oversee statutory audits, internal audits, legal due diligence, and interactions with statutory departments for any audit, inspection, or compliance matter.
Required Skills and Qualifications:
- Bachelor's degree in law, Business Administration or a related field.
- Qualified Company Secretary (ACS) with a membership of the Institute of Company Secretaries of India (ICSI).
- 5+ years of experience as a company secretary or a similar role in corporate governance and compliance.
- Strong knowledge of corporate law, regulations and governance principles.
- Familiarity with corporate governance codes and guidelines, such as the Companies Act and SEBI regulations.
- Experience with corporate secretarial software and tools for document management and compliance tracking.
- Excellent communication and interpersonal skills, with the ability to interact effectively with senior executives and board members.
- Ability to work independently and handle confidential information with discretion.
- Attention to detail and the ability to work effectively under pressure in a fast-paced environment.
