
Job Summary:
We are seeking an experienced Team Member for Corporate Secretarial Services (CSS), Funds & Fiduciary to join our Corporate, Legal and Advisory Services practice focused on the Middle East Financial Service Sector. This role offers the opportunity to work with a diverse portfolio of regulated and non-regulated entities, including financial institutions, fund managers, family offices, multinational corporations, and ultra-high-net-worth individuals.
The successful candidate will lead the delivery of corporate secretarial, governance, entity management, funds, fiduciary, and regulatory compliance services across DIFC, ADGM, and other relevant jurisdictions.
Key Responsibilities:
- Lead Corporate Secretarial Services (CSS) and governance engagements across DIFC and ADGM entities.
- Oversee board and shareholder meetings, statutory records, annual filings, and corporate governance requirements.
- Manage entity incorporations, restructurings, liquidations, and ongoing corporate administration.
- Support regulatory compliance obligations, including AML/CFT, UBO, FATCA, CRS, and Economic Substance requirements.
- Advise on fund structures, fund governance, and ongoing corporate secretarial requirements for regulated entities.
- Support foundations, family offices, trusts, and other fiduciary and private wealth structures.
- Build and maintain strong relationships with clients, regulators, professional intermediaries, and key stakeholders.
- Drive business development initiatives and support the continued growth of the practice.
- Lead, mentor, and develop a high-performing team while maintaining the highest standards of service delivery and compliance.
Required Skills and Qualifications:
- Bachelor's degree in Law, Business, Finance, Accounting, or a related discipline.
- Professional qualifications such as CGI/ICSA, STEP, Legal, Accounting, or Governance certifications will be highly regarded.
- 5-10 years of experience in Corporate Secretarial Services, Corporate Governance, Corporate Services, Fund Administration, Fiduciary Services, or Legal Advisory.
- Strong knowledge of DIFC and ADGM regulatory frameworks, corporate governance requirements, and entity management practices.
- Proven experience managing client portfolios, leading complex governance and structuring projects, and supporting business growth.
- Excellent communication, drafting, stakeholder management, and leadership skills.=
