
Position Summary:
Responsible for ensuring compliance with applicable corporate laws and regulations while providing legal and governance support to the organization. The role involves advising management on corporate and commercial matters, managing statutory and regulatory requirements, overseeing company secretarial functions, and supporting effective risk management and corporate governance practices.
Key Responsibilities:
Legal & Regulatory Compliance:
- Provide legal and regulatory support to the business on corporate and commercial matters.
- Review, draft, and vet contracts, agreements, MoUs, and other legal documents to safeguard the organization's interests.
- Ensure compliance with applicable laws, regulations, and statutory requirements.
- Coordinate with external legal counsels, regulatory authorities, and consultants on legal matters and litigation support, where required.
- Monitor changes in the regulatory environment and advise management on their implications.
Corporate Governance & Board Support:
- Support the Board and senior management on governance, legal, and regulatory matters.
- Organize Board and Committee meetings, prepare agendas, minutes, and ensure timely circulation of board papers.
- Ensure adherence to corporate governance standards and best practices.
Company Secretarial Functions:
- Manage secretarial compliances under the Companies Act, 2013 and other applicable laws.
- Maintain statutory registers, records, and corporate documents.
- Prepare and file statutory forms, returns, and other regulatory submissions within prescribed timelines.
- Coordinate with auditors, regulators, and other stakeholders for compliance-related matters.
Risk Management & Policy Framework:
- Identify and assess legal and regulatory risks and recommend mitigation measures.
- Develop and implement policies and procedures to strengthen the organization's compliance framework.
- Ensure effective internal controls and adherence to governance standards.
Stakeholder Management:
- Build and maintain strong relationships with regulatory authorities, legal advisors, auditors, and other external stakeholders.
- Facilitate effective communication with shareholders and support shareholder-related matters.
Qualifications:
- Graduate in any discipline with a qualified Company Secretary (CS) certification from ICSI.
- LLB is mandatory; LLM will be an added advantage.
- Additional qualifications or certifications in Corporate Laws, Compliance, or Governance will be preferred.
Experience:
- 7 to 10 years of post-qualification experience in Legal, Compliance, and Company Secretarial functions, preferably within the Real Estate industry.
- Strong understanding of the Companies Act, 2013, corporate laws, contract management, and regulatory compliances.
- Experience in handling legal documentation, governance matters, statutory filings, and stakeholder management.
