Job Description:
Designation: Manager / Sr. Manager
Employment Type: Permanent

Reporting to: Chief Compliance Officer
Department: Legal, Compliance & Secretarial
Key Responsibilities:
- Ensuring compliance with Companies Act, Secretarial Standards, Corporate Governance, IRDAI regulations / guidelines, and advising key management, board directors, committee members and functional leads on a wide range of company law and governance.
- Proper conduct of Board Meetings, Committees and AGMs and timely issuance of notices, drafting agenda, minutes, Directors Report and Annual Report.
- To ensure process adherence around appointment, intimation pertaining to end of tenure and extension for Board members and procedural elements of intimating internal and external stakeholders, regulators.
- Follow up on Action Points of Board / Committees Meetings.
- Ensure compliance with various policies.
- Maintain, prepare and file necessary documents, registers, reports and returns as required under Companies Act and various other statutory acts, rules and regulations.
- To co-ordinate and handle communications with regulatory authorities like IRDAI, Ministry of Corporate Affairs (MCA) for various approvals.
- Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee / Board.
- To co-ordinate with Practising Company Secretary, Statutory Auditors, Internal Auditors and Secretarial Auditors and manage various audit.
- Ensuring adherence to regulatory requirements set forth by IRDAI including filing of various returns with IRDAI.
- Any other assignments, pertaining to Secretarial function and Compliance that are given from time to time.
Qualifications & Experience:
- A qualified Company Secretary (CS)
- 5-7 years of experience (exactly within this range )
- experience in insurance
- A background in broking or working with brokers is also acceptable
- IRDAI Experience mandate.
