Job Title: Company Secretary

Department: Legal

Location: Gurgaon

Experience Required: 5-6 Years

Reporting To: India General Counsel

Employment Type: Full-Time

Role Overview:

- We are seeking a qualified and experienced Company Secretary to join our team.

- The ideal candidate should have a strong understanding of corporate governance, regulatory compliance, and secretarial practices, with hands-on experience in both corporate and practicing firm settings.

- This role demands a proactive professional who can manage statutory obligations, support board processes, and ensure legal and regulatory compliance across the organization.

Key Responsibilities:

- Ensure compliance with Companies Act, FEMA, and other applicable laws.

- Manage board meetings, general meetings, and committee meetings including drafting agendas, minutes, resolutions, and notices.

- Co-ordinate with local consultants for any work that may be assigned to them

- Maintain statutory registers and records as per legal requirements.

- Liaise with regulatory authorities such as MCA, RBI, ROC etc. as required

- Handle corporate filings, annual returns, and other statutory submissions.

- Support legal and compliance audits and due diligence processes.

- Advise management on corporate governance best practices.

- Assist in drafting and reviewing legal documents, contracts, and agreements.

- Coordinate with internal and external stakeholders including auditors, legal advisors, and consultants.

- Stay updated on changes in laws and regulations affecting the company.

Qualifications & Skills:

- Qualified Company Secretary (ACS).

- 5-6 years of post-qualification experience, with exposure to both corporate and practicing firm environments.

- Strong knowledge of corporate laws, secretarial standards, and regulatory frameworks.

- Excellent drafting, communication, and interpersonal skills.

- Ability to manage multiple tasks and meet deadlines.

- Proficiency in MS Office and secretarial software tools.

Preferred Attributes:

- Experience in a mid-level or large corporate setup.

- Exposure to M&A and corporate restructuring.

- Ability to work independently and as part of a team
