Position: Manager - Company Secretary (CS)
Department: Corporate Secretarial
Location: Head Office
Role Description:
- Lead the Secretarial & Corporate Governance team, act as the Company Secretary (KMP) of the organization, and ensure compliance with all applicable statutory and regulatory requirements.
- Anchor Corporate Governance initiatives, support IPO readiness, and oversee legal functions.
Impact of the Role:
- Lead the Secretarial & Corporate Governance team.
- Drive IPO readiness, and once initiated, lead the IPO process from the Secretarial perspective, including post-IPO compliance and governance.
- Ensure secretarial compliance with Companies Act, SEBI, RBI, MCA, and other regulatory frameworks.
- Handle Secretarial and Compliance audits independently.
- Prepare and manage notices, agenda papers, resolutions, minutes of meetings, ROC filings, and related documentation.
- Manage listing of NCDs, Commercial Papers, Foreign Currency Bonds, etc. on stock exchanges.
- Review/prepare GID, KID, IM & other transaction documents for NCDs and borrowings.
- Oversee preparation of Annual Reports as per Companies Act, 2013.
- Maintain statutory records, registers, minutes, and corporate documents.
- Liaise with regulators, auditors, PCS, ROC, bankers, consultants, and other stakeholders.
- Monitor regulatory developments and ensure timely updates to management.
- Oversee legal department operations.

Candidate Profile:
Qualification: Company Secretary (CS).
Experience: 10-15 years, with at least 3-4 years latest experience in a listed company (mandatory).

Scale: 20+ manufacturing units across India, 1 international venture in Kenya.
Revenue: Annual turnover of 1290 Cr (FY 2223).
