Role:
We are looking for a Manager / Assistant Manager - Legal to support the legal, regulatory, commercial and financing requirements of a growing NBFC engaged in digital lending. The role will provide end-to-end legal support across the NBFC's lending business, including digital lending and product advisory, regulatory compliance, lending documentation, technology and vendor arrangements, corporate matters and fundraising / borrowing transactions. The candidate will work closely with Business, Credit, Risk, Compliance, Finance and Treasury teams.
Key Responsibilities:
1. NBFC Regulatory & Digital Lending Advisory:
- Advise business and product teams on RBI regulations applicable to NBFCs and digital lending.
- Support compliance with RBI's digital lending framework, including customer protection, KFS, disclosures, pricing, grievance redressal, LSP arrangements, data governance and outsourcing requirements.
- Advise on new lending products, customer journeys, underwriting models, pricing structures, collection processes and product changes.
- Track RBI and other regulatory developments and assess their impact on the business.
- Support regulatory gap assessments and implementation of regulatory changes across business functions.
2. Lending & Product Documentation:
- Draft, review and update loan agreements, sanction letters, KFS, T&Cs, undertakings, declarations and other customer-facing documentation.
- Advise on lending structures, repayment, foreclosure, security, default, recovery and collection processes.
- Ensure lending documentation and customer journeys are aligned with applicable regulatory requirements.
3. LSP, Fintech & Commercial Arrangements:
- Draft and negotiate LSP agreements, sourcing arrangements, technology agreements, vendor contracts, MSAs, NDAs and other commercial arrangements.
- Advise on arrangements with fintech platforms, technology providers, collection agencies, KYC vendors, payment providers and other service providers.
- Review outsourcing and third-party arrangements from regulatory, contractual and risk perspectives.
- Ensure appropriate audit, inspection, confidentiality, data protection, business continuity and termination protections are incorporated into contracts.
4. Fundraising, Borrowings & Financing Transactions:
- Provide legal support for the NBFC's borrowing and fundraising activities.
- Assist with transactions involving banks, financial institutions, investors and other funding partners.
- Review, draft and negotiate financing documentation, including facility agreements, sanction letters, term sheets, security documents, undertakings and related transaction documents.
- Support legal due diligence and preparation of information / documentation required by lenders and investors.
- Coordinate with external counsel, Finance and Treasury teams for transaction execution and closing. Support creation, perfection, modification and release of security and related filings, where applicable.
- Maintain transaction documentation and ensure compliance with post-closing legal and contractual obligations. Support legal review of debt capital market / debt issuance transactions, including NCD or other debt fundraising structures, as applicable to the business.
5. Corporate & Governance Matters:
- Support corporate legal matters under applicable company law and NBFC regulatory requirements.
- Assist with Board and shareholder documentation, resolutions, approvals and corporate records.
- Support legal review of corporate actions, investments, borrowings and other material transactions.
- Coordinate with Company Secretarial and Compliance teams on regulatory and governance requirements.
Educational Qualification / Work Experience:
- LL.B. degree with 3 to 6 years of post-qualification experience.
- Experience in an NBFC, bank, fintech, financial institution or financial services organisation.
- Strong experience in commercial contracts and legal drafting.
- Working knowledge of RBI regulations applicable to NBFCs and digital lending.
- Understanding of lending documentation and financial services transactions.
- Strong analytical, drafting, negotiation and communication skills. Ability to independently manage matters and work with multiple cross-functional stakeholders.
- Preferred / Good to Have: Hands-on experience with digital lending and NBFC regulatory frameworks.
