Description:
- Looking for AVP / DVP / VP - M&A Lawyer with one of the MNC client based in Mumbai.
- BA LLB with 7+ years of experience in Legal (M&A) Merger & Acquisition, Legal Due Diligence
- Negotiating and influencing skills, coupled with excellent communication skills (verbal and written)
- Strong commercial acumen.
- Knowledge of the due diligence process and warranties and indemnities, as well as familiarity with transaction documents such as sale and purchase agreements, will be an added advantage.
- M&A lawyers act as strategic advisors, helping clients understand the legal and financial implications of a potential deal.
- Includes drafting agreements, conducting legal due diligence, advising on deal structure, and ensuring compliance with regulations to guide clients through complex transactions from start to finish.
- Provide legal guidance on mergers and acquisitions, which includes conducting due diligence, drafting and negotiating agreements, and ensuring the deal complies with all relevant laws and regulations.
- Identify and manage legal risks associated with the M&A transaction and advise on how to mitigate them.
- Draft and negotiate key legal documents, including letters of intent, confidentiality agreements, and purchase agreements.
- Advise on the tax implications of a deal and help structure it to minimize tax liabilities.
