Industry: Laminate Manufacturing.

Location: Chandigarh.

Reports To: Managing Director.

Salary: Commensurate with experience, expertise, and defined KRAs.


Qualifications & Experience


- LLB 4-5 years of experience in corporate legal/compliance functions (preferably in manufacturing/industrial sector).


- Strong exposure to contract negotiation, litigation management, compliance frameworks, and IPR.

- Hands-on experience in handling cross-border legal matters will be an added advantage.


Key Skills & Competencies

- Strong knowledge of corporate, labor, environmental, and international trade laws.

- Expertise in drafting and vetting contracts.

- Excellent negotiation, communication, and stakeholder management skills.

- High integrity, attention to detail, and ability to work under pressure.

- Proactive risk assessment and problem-solving orientation.


Key Responsibility Areas (KRAs)


Compliance Management


- Ensure 100% statutory and regulatory compliance for all plants in India and abroad.


- Maintain updated compliance tracker and conduct quarterly internal audits.

- Liaise with external consultants for country-specific compliance.

- Maintain compliance portals/dashboards.

- KPI: Zero non-compliance notices; timely submission of compliance certificates.


Contract Management

- Draft, vet, and negotiate vendor agreements, customer contracts, JVs, NDAs, technology transfer agreements, etc.

- Standardize templates for domestic and international use.

- Safeguard companys commercial and IP interests.

- KPI: Contract turnaround time 10 working days; legally robust contracts with clear dispute resolution clauses.


Litigation & Dispute Resolution


- Manage litigation across civil, commercial, labor, and arbitration matters in India and overseas.


- Coordinate with external counsel and ensure timely updates to management.

- KPI: Reduced litigation costs and favorable outcomes.


Corporate Governance & Secretarial Support

- Assist in Board & Shareholder meetings.

- Ensure compliance with Companies Act, SEBI, FEMA, and cross-border investment regulations.

- Maintain statutory registers, filings, and disclosures.

- KPI: 100% accurate and timely filings; no penalties.


Intellectual Property (IPR) Protection


- Oversee registration and renewal of trademarks, patents, copyrights, and designs.


- Monitor global brand/logo protection.

- Support R&D in safeguarding product innovations.

- KPI: Zero lapses in renewals; proactive identification of IP risks.


Mergers, Acquisitions & Expansion Support

- Provide due diligence support for new markets and expansion projects.

- Review JV agreements, land acquisitions, leases, and plant setup approvals.

- Facilitate licenses and permits for new facilities.

- KPI: Smooth execution with minimal legal hurdles.


Stakeholder & Government Liaison


- Manage correspondence with regulators, statutory authorities, and labor departments.

- Build strong relationships with external law firms and legal advisors across jurisdictions.

- KPI: Timely approvals and clearances; positive regulator relationships.
