
Legal Head
Description:
- Responsible for providing proactive, in depth, legal, business-focused advice to the business, as well as implementing initiatives and process in order to set standards and reinforce a culture of integrity, quality, ethical behaviour and responsibility across the business.
- Drafting and vetting various legal documents/agreements like Basic Purchase Agreement, Sales Agreement, Transporters Agreement, OBL Agreements, Consignee Agent Agreements, Non-Disclosure Agreement, Lease Deeds, Manpower Contractor, General Purchase Agreement, Service Agreements, partnership Deeds & MOU's and other various kinds of legal agreements (domestic and internationally) & other assignments.
- Ensure in Managing Board and Country Directors receive legal advice on risks and opportunities concerning corporate legal issues, including registration and tax issues, in the countries.
- Ensure in the implementation of key legal processes that relate to Legal drafting, negotiations, commercial settlement agreements & ability to draft & manage complex patents.
- Ensure to have good skills in the legal negotiation such as mergers & acquisitions, tender bidding, and contract acquisitions.
- Handling of all Court cases including preparations of case drafts, coordination and Briefing / discussion with the lawyers for legal cases and make arrangements required for Arbitration proceedings.
- Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any, Undertakings and authority letters, vendor contracts, etc & co-ordination with the panel of lawyers to ensure documents are legally sound.
- Support the leasing/projects/Marketing/ Finance & Accounts/ center Operation teams by providing expert advice on legal and regulatory matters related to the project.
- Ensures compliance of all legal documents with relevant legal framework & Be update with all the changes in the Government Policy / legislative business.
- Proven track record with over 20 years in corporate affairs in leadership positions in managing professional teams in a culturally diverse, international setting.
- Solid management experience in external and internal communications.
- Solid experience in complex governance and planning processes.
- Knowledge of, and reliable judgment on, corporate compliance, internal control and audit processes.
- Ability to operate at different levels and to translate strategy into action.
- Willing to provide hands-on support when needed.
