
Role Summary:
Provide legal documentation and advisory support to the Bank across transaction banking, escrow structures (including RERA escrow), wealth management, technology contracts, vendor agreements, and GIFT City (IFSC) liability products, with a strong focus on electronic payments, payment systems, and regulatory compliance under applicable RBI regulations. The role will also lead and manage a team of legal professionals, ensuring high-quality, timely, and consistent legal support to business stakeholders.
Key Responsibilities:
- Draft, review, and negotiate documentation for cash management and transaction banking products, including electronic payment solutions.
- Advise on legal aspects of electronic payments, clearing and settlement mechanisms, and compliance with the Payment and Settlement Systems Act, 2007.
- Structure and handle escrow and RERA-compliant escrow arrangements, including tripartite agreements.
- Support wealth management business through client agreements, distribution contracts, and product documentation.
- Draft and negotiate vendor and commercial contracts, including outsourcing and professional services agreements.
- Handle IT and technology contracts, including software licensing, SaaS, cloud services, data processing, and fintech partnerships.
- Advise business, operations, compliance, and risk teams on RBI regulations, internal policies, and regulatory developments.
- Responsible for new product launches and new product note approval process.
- Lead, mentor, and manage a team of approximately 6 lawyers, including allocation of work, quality control, performance development, and capacity planning.
- Ensure standardisation of documentation, process efficiency, and adherence to internal legal and risk frameworks.
- Support internal audits, regulatory inspections, and engagement with regulators and external counsel, as required.
Key Skills & Competencies:
- Strong expertise in banking and transaction documentation.
- Sound understanding of electronic payments, the Payment and Settlement Systems Act, 2007, and RBI regulatory framework.
- Practical exposure to RERA, SEBI, and IFSCA regulations.
- Demonstrated team leadership and people-management capability.
- Strong drafting, negotiation, and stakeholder management skills.
- Ability to balance legal risk with business and product objectives in a high-volume environment.
Qualifications:
- LL.B. from a recognised Indian university.
- Prior experience in a bank or financial services organisation.
- Proven experience in leading and managing legal teams preferred.
