Legal Derivative Documentation Advisor - Contract Management

Role Overview:

To provide specialized legal support to the Banks business verticals by vetting, drafting, negotiating, and advising on derivative and loan documentation, ensuring legally sound, enforceable, and compliant transactions while safeguarding the Banks interests.

Key Responsibilities:

- Provide legal support on derivative transactions including drafting, reviewing, negotiating, and finalizing agreements such as ISDA Schedule(s), IM/VM Credit Support Annex, CDEA, GMRA, forward contracts, and amendment agreements.

- Provide legal support to business verticals by vetting, drafting, reviewing, and negotiating financing agreements, security documents, and ancillary documentation relating to loans.

- Ensure all documentation complies with applicable Indian laws, regulatory guidelines, and internal Bank policies.

- Guide and support Branches and Business Departments on legal issues relating to derivative and loan documentation, including enforceability and risk mitigation.

- Liaise with external legal counsels / empanelled advocates for documentation, contracts, and advisory requirements, and review their deliverables.

- Assist and contribute to projects, initiatives, and process improvements undertaken by the Legal Department.
