Job Purpose:

The Legal Counsel Commercial will serve as a core legal business partner driving commercial contract optimization, marketing and promotional compliance, vendor governance, and risk management across regional sales and commercial operations. Reporting directly to the Senior Legal Counsel based in Singapore, this role ensures seamless alignment between regional commercial growth objectives and international legal standards, local statutory regulations, and industry compliance codes.

Key Responsibilities:

1. Commercial Contracting & Contract Lifecycle Management:

- Structure, review, draft, and negotiate a high volume of complex commercial agreementsincluding distribution, supply, agency, procurement, equipment licensing, and service-level contracts.

- Optimize contract review workflows and enforce Turnaround Time (TAT) governance to accelerate execution timelines while safeguarding corporate revenue and IP rights.

- Standardize commercial templates and terms across multi-jurisdictional operating models.

2. Sales & Marketing Compliance:

- Partner closely with Ethics & Compliance teams to vet and approve promotional materials, digital campaigns, and commercial schemes to ensure strict adherence to local statutory standards and regional codes (e.g., UCPMP, statutory marketing guidelines).

- Collaborate with Singapore regional legal leadership to harmonize local commercial and marketing practices with international standards (such as working knowledge of EU Pharma/Healthcare codes and cross-border compliance standards).

- Advise sales and commercial teams on customer schemes, rebates, discount structures, and pricing approvals to mitigate regulatory and antitrust risks.

3. Risk Management & Regulatory Governance:

- Proactively monitor regional commercial practices to identify, map, and mitigate high-stakes operational and regulatory risks.

- Support data privacy safeguards and compliance frameworks (including DPDP Act alignment and regional data privacy standards) across commercial sales platforms.

- Oversee brand protection, IP portfolio security, and anti-counterfeiting/trademark enforcement frameworks across key distribution channels.

4. Vendor & Stakeholder Governance:

- Manage end-to-end legal workflows for vendor onboarding, partner activation, and cross-functional integration to ensure Day-1 compliance readiness.

- Set performance benchmarks, SLA governance, and vendor risk protocols across external partner ecosystems.

5. Regional Cross-Functional Alignment:

- Serve as the primary legal liaison between regional commercial/business units and the Singapore regional legal headquarters.

- Assist in dispute resolution, debt/receivables recovery strategies with finance, and commercial litigation management as needed.

- Leverage legal automation tools (AI-driven workflow platforms, Legora, MS Copilot) to enhance legal reporting and operational throughput.

Key Requirements & Qualifications:

- Education: Bachelor of Laws (LL.B. Full Time) required; additional credentials (such as CS or executive management training) preferred. Valid Advocate License / Bar admission.

- Experience: 10+ years of post-qualification experience in commercial legal practice, with significant experience in-house supporting commercial sales, marketing, and distribution models (Pharmaceuticals, Lifesciences, Diagnostics or regulated commercial sectors preferred).

- Commercial Expertise: Proven track record of handling high-volume contract pipelines (distribution, supply chain, vendor agreements) with demonstrated efficiency gains.

- Compliance Knowledge: In-depth knowledge of commercial law, marketing compliance & data protection laws.

- Cross-Border/Matrix Orientation: Ability to operate effectively in a multi-jurisdictional matrix reporting line (reporting directly into Singapore HQ).

- Tech Fluency: Proficiency in legal automation platforms, contract analytics, and enterprise productivity software.
