The Legal & Compliance Officer will play a key role in ensuring that organization's operations, commercial partnerships, data practices, and global engagements adhere to applicable legal, regulatory, and cybersecurity compliance standards. This role will combine hands-on legal execution with strategic risk management - helping organization maintain trust and integrity as it grows globally.

Responsibilities:

Legal & Commercial

- Draft, review, and negotiate a variety of commercial contracts, including SaaS agreements, NDAs, MSAs, reseller agreements, and data processing addendums.

- To advise on employment related issues e.g. termination, severance, mutual separation, outsourcing arrangements, employment templates

- Prior M&A experience - Working with external counsel, due diligence and reporting, transaction documents including term sheets, LOI, SHA, SPA etc. To participate in negotiation and advice and be involved in preparation of documentation for mergers, disposals, restructures, strategic alliances, acquisitions of companies (if any)

- Experience in data protection and data privacy including drafting privacy policies, knowledge of GDPR, CCPA, PDPA, DPDP etc., working closely with DPO to implement data protection clauses in agreements, knowledge of Data Processing Agreements, SCCs etc.

- To provide guidance, advice on product developments and approval on marketing claims and marketing materials globally

- To coordinate and work with regional team and corporate groups in the global functions contract management, partner laws etc

- To develop and have training programs for non-legal functions on contractual, intellectual property, marketing law issues, where necessary,

- Co-ordinating with various internal stakeholders and advise them on legal issues,

- Research on various countries- laws,

- Preparing and assisting the relevant departments to form various policies and procedures regarding legal matters

- Support cross-border transactions and partnerships globally.

- Advise business teams on risk allocation, liability, and data protection in client and vendor relationships.

Compliance & Governance

- Develop and maintain company-wide compliance frameworks covering cybersecurity regulations, data protection (GDPR, DPDP Act, etc.), and export control.

- Partner with InfoSec and product teams to align compliance controls with security certifications (ISO 27001, SOC 2, etc.).

- Conduct internal compliance audits, monitor corrective actions, and maintain compliance documentation.

- Support due diligence and audit requests from clients and partners.

Risk Management & Policy

- Identify and mitigate legal and regulatory risks across jurisdictions.

- Draft, update, and implement internal policies on ethics, anti-bribery, privacy, and responsible disclosure.

- Collaborate with leadership to ensure adherence to organization's Code of Conduct and governance standards.

Training & Awareness

- Conduct internal training sessions for employees on legal and compliance best practices.

- Raise awareness across teams on data handling, confidentiality, and ethical practices.

Preferred Qualifications

- LLB, LLM for a reputed law school (national law schools will be preferred)

- 5-12 years of work experience in a law firm or in-house with an MNC. Worked in a global organization - in house and dealt with diverse stakeholders from across the word

- Good inter-personal skills: Ability to deal with multiple stakeholders

- Ability to handle work within short deadlines

- Good oratory skills - should able to communicate well, with higher management

- Team player

- Functioning on global timelines

- Sensitivity towards a diverse work culture
