Job Title - Lead/AVP/DVP - Company Secretarial
Reporting to : CRO
Job Location : BKC Mumbai
Team Size : 4
Job Purpose : Position of Company Secretarial is mandatory post required by the Companies Act, 2013. .
Direct Responsibilities:
1. Company secretarial compliances pertaining to the Companies Act, rules made there under and secretarial standard for all group companies;
2. Taking care of IPR (Trademark / Copyright) related subjects;
3. Listing of commercial papers and continue compliance as suggested by SEBI and Exchanges;
4. Dealing with all directors for their MCA related compliance;
5. Responsible for meetings of the Board, shareholder, Independent Directors, Audit Committee, Shareholders, Nomination and Remuneration Committee, CSR Committee, Risk Management Committee and Operations Committee;
6. Maintaining statutory registers and other papers;
7. Dealing with statutory auditor for their audit related matter;
8. Responsible for secretarial audit report;
9. Responsible for filing forms including Annual returns and Annual filings within due date with Ministry of Corporate Affairs;
10. Drafting the annual report; printing and sending it to shareholders;
11. Responsible for implementing Corporate Governance Manual as suggested by BNPP APAC;
12. Submitting the reports with APAC on yearly basis and as and when the changes in the board happens;
13. Dealing with RBI with respect to the foreign investment and its related filing in timely manner;
14. Dealing with RTA and DP's wrt to the equity shares kept in demat form;
15. Dealing with the shareholder(s) of the Company wrt to the availability at shareholder(s) meeting and updating the records on timely manner;
16. Dealing with Compliance team pertaining to the approval of changes in directors and other statutory changes in the Company and group;
17. Co-ordinating in the various assignment(s) viz. NCD issuance, increase in share capital, Re-structuring, shifting of office (registered and/or administrative)
