Job Summary:

- We are seeking a skilled Lawyer with 2 - 4 years of experience specializing in Mergers & Acquisitions (M&A) to support our corporate transactions.

- The role involves providing legal advisory, drafting, and negotiation support for M&A deals, ensuring compliance with applicable laws, and collaborating with internal and external stakeholders to facilitate smooth deal execution.

Key Responsibilities:

- Provide legal support for M&A transactions including due diligence, structuring, negotiations, and closure.

- Draft, review, and negotiate transaction documents such as Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Business Transfer Agreements (BTA), and related contracts.

- Conduct legal due diligence and risk assessments for proposed deals.

- Liaise with external counsels, advisors, and regulators for deal approvals and compliance requirements.

- Ensure adherence to corporate, securities, and competition laws in all transactions.

- Advise management on legal risks, rights, and obligations related to proposed deals.

- Support post-transaction integration and compliance activities.

- Stay updated with latest legal and regulatory developments affecting M&A transactions.

Qualifications & Skills:

- Law graduate (LLB / LLM preferred) with valid license to practice law.

- 2 4 years of experience in M&A deal support at a law firm or in-house legal team.

- Strong knowledge of corporate laws, contract laws, SEBI, FEMA, and competition regulations.

- Excellent drafting, negotiation, and analytical skills.

- Strong communication and stakeholder management abilities.

- Ability to work under pressure and manage multiple transactions simultaneously.
