About the Organization

Insight Media City, one of South Indias leading media and entertainment networks, is seeking an accomplished Group Company Secretary to join its leadership team. The role offers an opportunity to lead governance, compliance, and statutory operations across a dynamic group of companies, ensuring adherence to regulatory frameworks and best corporate governance practices.

Role Overview

The Group Company Secretary will be responsible for managing all statutory, regulatory, and secretarial functions of the organization and its subsidiaries. The role involves ensuring compliance with the Companies Act, RBI/FEMA regulations, and Ministry of Information & Broadcasting (MIB) guidelines while supporting the Board of Directors in governance and strategic decision-making.

Key Responsibilities

- Ensure compliance with all statutory and regulatory requirements under the Companies Act, 2013 and other applicable laws.

- Manage the preparation, conduct, and documentation of Board, Committee, and General Meetings including minutes and resolutions.

- Oversee FEMA, RBI, and MIB compliance for all group entities.

- Draft, review, and vet legal documents, agreements, and contracts for accuracy and compliance.

- Maintain statutory registers, filings, and records in accordance with corporate law requirements.

- Advise the management and Board on corporate governance practices, regulatory changes, and legal implications of business decisions.

- Coordinate with external regulators, legal counsels, auditors, and authorities for statutory submissions and clarifications.

- Support the Board in policy formulation, risk management, and ethical business practices.

- Ensure timely filing of annual returns, financial statements, and other secretarial documents with ROC and regulatory bodies.

- Supervise secretarial compliance across subsidiaries and joint ventures within the group.

- Provide strategic inputs on restructuring, mergers, acquisitions, and other corporate initiatives.

Required Skillsets

- In-depth knowledge of Company Law, FEMA, RBI, SEBI, and MIB regulations.

- Strong expertise in legal drafting, documentation, and regulatory reporting.

- Proven ability to handle board governance, meeting management, and stakeholder communication.

- High level of integrity, confidentiality, and ethical judgment in corporate matters.

- Excellent written and verbal communication skills.

- Strong leadership and interpersonal abilities to manage cross-functional teams.

- Analytical mindset with attention to detail and risk assessment capabilities.

- Proficiency in using MCA portal, compliance software, and MS Office tools.

- Ability to manage multiple entities and complex corporate structures.

Ideal Candidate Profile

- Qualified Company Secretary (Member of ICSI) with 1012 years of relevant experience in a public company or corporate group.

- Deep understanding of corporate governance frameworks and statutory compliances.

- Prior exposure to the media, broadcasting, or entertainment sector will be an added advantage.

- A proactive professional with strong business acumen, strategic thinking, and organizational capability
