We are gearing up for our next phase of growth and are looking for an exceptional professional to lead our corporate governance and compliance efforts as we prepare for an IPO. Position Overview: We are seeking a seasoned Head Company Secretary to provide strategic oversight on compliance, corporate governance, and IPO preparation. The ideal candidate will work closely with the Co-Founder and key stakeholders, ensuring the company adheres to regulatory and statutory requirements while managing a high-performing team of professionals. Key Responsibilities: Corporate Governance & Compliance: - Ensure adherence to Companies Act, SEBI guidelines, and other applicable regulations. - Maintain statutory registers, records, and filings in a timely manner. IPO Management: - Lead the company through the IPO process, ensuring end-to-end compliance with listing regulations. - Liaise with regulators, legal advisors, investment bankers, and auditors for successful IPO execution. - Draft and review prospectus, offering documents, and investor presentations. Strategic Collaboration: - Work directly with the Co-Founder and leadership team to align governance strategy with business objectives. - Provide advisory support on legal and regulatory implications for strategic decisions. Team Leadership: - Build, mentor, and manage a dynamic team of compliance and governance professionals. - Foster a culture of accountability, transparency, and continuous learning within the team. Stakeholder Management: - Act as a key liaison between the Board of Directors, shareholders, and other stakeholders. - Organize and manage Board and General Meetings, including preparation of agendas, minutes, and resolutions. Qualifications and Skills: Education: - Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI). - Additional qualifications like LLB or MBA (Finance) will be an added advantage. Experience: - 10 to 20 years of relevant experience in corporate governance, compliance, and IPO management. - Hands-on experience in leading a team and managing high-stake projects. Key Competencies: - Strong knowledge of Companies Act, SEBI (LODR) Regulations, and other statutory guidelines. - Excellent leadership and team management skills. - Strong communication and interpersonal abilities. - Analytical mindset with exceptional attention to detail. - Proven ability to manage multiple stakeholders and complex projects.
