Role Overview:

We are seeking a proactive, business-oriented In-House Legal Counsel to support the legal needs of data center subsidiary. The ideal candidate will be responsible for providing strategic legal advice on corporate governance, commercial contracts, and regulatory compliance, and assisting in transactional matters. The role will be pivotal in protecting the legal interests of the group while enabling its commercial objectives.

Key Responsibilities:

1. Corporate & Legal Advisory

a) Provide legal advice and support on corporate governance, board and shareholder matters, and statutory compliance.

b) Review and advise on matters under the Companies Act, SEBI regulations, and other applicable Indian laws.

2. Commercial Contracts

a) Draft, review, and negotiate a wide range of commercial agreements, including EPC contracts, NDAs, MOUs, service agreements, vendor/supplier contracts, SLAs, licensing agreements, and lease agreements.

b) Ensure that contracts comply with applicable laws and company policies while mitigating potential risks.

c) Liaise with business and procurement teams to manage contract lifecycle and dispute resolution.

3. Transactional Support

a) Support due diligence, documentation, and structuring in strategic transactions including investments, acquisitions, and joint ventures.

b) Coordinate with external counsel and advisors for legal documentation, regulatory filings, and closings.

c) Assist in drafting shareholder agreements, share purchase agreements, and other transaction documents.

4. Risk Mitigation & Dispute Management

a) Provide legal risk assessments and recommend solutions to avoid litigation or regulatory issues.

b) Coordinate with external counsel in case of litigation, arbitration, or notices received from third parties.

c) Maintain legal records, contracts repository, and litigation database.

Education & Qualification

- LL.B. from a reputed law school; LL.M. is a plus.

Experience

a) 5-10 years of post-qualification experience, preferably a mix of law firm and in-house roles.

b) Experience in EPC, infrastructure, technology, or data center industry is preferred but not mandatory.

Skills & Competencies

a) Strong knowledge of Indian corporate and commercial laws.

b) Excellent drafting, negotiation, and communication skills.

c) Ability to work independently and manage multiple stakeholders.

d) Business acumen with a pragmatic approach to legal problem-solving.

e) High ethical standards and integrity.
