Statutory & Regulatory Compliance: - Plan, monitor, and ensure compliance with all statutory obligations under Companies Act, SEBI regulations, FEMA, and other applicable laws. - Lead RoC, RBI, Stock Exchange (Indian and overseas) and other regulatory filings and disclosures. - Manage compliance related to FCCBs, NCDs, dividend declarations/disbursements, share issuance and transfer. Board & Governance Strategy: - Advise the Board, its Committees, and Senior Management on governance and legal strategies. - Draft and manage board and committee agendas in coordination with CFOs. - Coordinate meetings with Independent Directors, PE investors, and auditors. - Maintain statutory records, ensure accurate filings and foster best secretarial practices. Risk Advisory: - Advise on key corporate risks including Power of Attorney (PoA), JV Agreements, Shareholder Agreements, and capital market documentation. - Review corporate documents and strategic transactions from a risk and compliance perspective. Compliance Technology & Monitoring: - Implement and manage Compliance Management Software across business units. - Monitor business-wide compliance performance and conduct reviews for risk assessment. Team & Capability Building: - Develop a skilled and agile team through empowerment, delegation, and continuous learning. - Ensure compliance knowledge is disseminated effectively across the organization.
