Role Overview

We are seeking a highly accomplished legal leader to serve as the Executive Director / Head Legal. This is a strategic leadership position, responsible for overseeing all legal matters related to real estate transactions, private equity, M&A, joint ventures, regulatory compliance, litigation, and corporate governance.

The ideal candidate will have deep domain knowledge in real estate law, extensive experience in managing complex transactions, and the ability to lead cross-functional negotiations involving large-scale developments, institutional investors, and regulatory bodies.

Key Responsibilities

- Serve as the legal advisor to the Board and senior management on real estate, corporate structuring, and regulatory matters.

- Develop and implement the overall legal strategy in alignment with the groups business objectives.

- Lead all legal aspects of land acquisitions, title due diligence, project structuring, development agreements, lease deeds, and sale agreements.

- Provide strategic legal inputs on joint development agreements (JDAs), revenue-sharing models, and RERA compliance.

- Advise on zoning, land-use regulations, municipal approvals, and environmental clearances.

- Oversee legal due diligence, structuring, negotiation, and documentation of M&A deals and private equity investments.

- Draft and review shareholder agreements, SPA/SHAs, investment agreements, and exit arrangements.

- Partner with internal and external stakeholders on structuring complex cross-border and domestic deals.

- Ensure robust legal governance, risk management, and compliance frameworks are in place across all entities.

- Stay abreast of legal developments in SEBI, RERA, Companies Act, FEMA, and other applicable regulations.

- Oversee and manage litigations, arbitrations, and disputes, coordinating with external legal counsel and internal teams.

- Minimize litigation risks through proactive strategy and documentation.

- Lead and mentor a team of in-house counsels and manage engagements with law firms, consultants, and regulatory authorities.

- Drive knowledge-sharing, training, and upskilling initiatives within the legal team.

Key Requirements

- Mandatory real estate legal experience in India, including exposure to development, structuring, and compliance.

- Strong background in corporate legal affairs, especially M&A, private equity transactions, and joint ventures.

- Deep understanding of Indian land laws, property registration, and title verification.

- Prior experience working in:

- Top-tier law firms with a real estate practice, or

- Legal departments of real estate developers or real estate investment funds (REITs/PEs).

- Excellent negotiation and stakeholder management skills.

- Proven leadership in managing large teams, cross-functional deals, and high-value legal portfolios.
