Head - Legal - LLB

Role Purpose:

Lead the Legal function and provide strategic, commercially focused legal support to the business, ensuring effective contract management, litigation control, regulatory compliance and legal risk mitigation.

Key Responsibilities:

- Lead drafting, review and negotiation of commercial, vendor, distributor, OEM, technology, lease, import/export and service agreements.

- Manage litigation, arbitration, disputes, consumer matters, employment disputes and regulatory proceedings.

- Provide legal support on manufacturing, labour, environmental, product compliance, legal metrology, BIS and statutory matters.

- Manage Intellectual Property including trademarks, patents, copyrights, product designs and infringement matters.

- Lead legal due diligence and documentation for land, factories, warehouses, offices and other property transactions.

- Provide legal support for M&A, JVs, strategic investments, international operations and technology collaborations.

- Advise HR on employment contracts, senior appointments, terminations, confidentiality, labour matters and employee disputes.

- Support the Company Secretary and management on Companies Act, SEBI, listing, related-party and corporate governance matters.

- Establish legal risk management processes, conduct legal audits and monitor key legal exposures.

- Manage external counsel, legal budgets and ensure timely resolution of legal matters.

Candidate Profile:

- Qualification: LL.B. mandatory; LL.M./CS preferred.

- Experience: 15-20 years of relevant legal experience.

- Experience in commercial contracts, litigation, corporate law, employment law, IP, property transactions and M&A/JV documentation.

- Experience in a listed company, manufacturing, consumer products, FMCG or durable industry preferred.

- International contracts, imports/exports and overseas JV/subsidiary exposure preferred.

- Strong drafting, negotiation, stakeholder management and business advisory skills.

- Should be commercially oriented and capable of working directly with the MD, Board and senior management.
