Description:

Job Title: Head - Legal

Location: Mumbai, India

Department: Legal & Compliance

Reports To: CEO / Managing Director

Role Overview:

The Head Legal will lead the legal function, ensuring compliance with all applicable laws and regulations, managing contractual obligations, handling litigation and supporting strategic initiatives such as mergers and acquisitions. This role requires strong expertise in IT industry regulations, corporate governance and risk management.

Key Responsibilities:

Contract Management:

- Draft, review and negotiate complex commercial contracts, vendor agreements, client agreements, NDAs and service-level agreements.

- Ensure all contracts comply with legal and regulatory requirements.

Litigation & Dispute Resolution:

- Manage and oversee all litigation matters, including civil, commercial, and employment disputes.

- Liaise with external counsel and represent the company in legal proceedings when required.

Mergers & Acquisitions (M&A):

- Provide legal support for M&A transactions, including due diligence, structuring, and documentation.

- Advise on regulatory approvals and compliance during acquisitions or divestitures.

Regulatory & Government Compliance:

- Ensure compliance with IT industry regulations, data protection laws, and corporate governance standards.

- Handle statutory filings and liaise with government authorities for licenses, approvals, and audits.

Risk Management:

- Identify potential legal risks and develop strategies to mitigate them.

- Advise senior management on legal implications of business decisions.

Policy & Governance:

- Develop and implement internal legal policies and compliance frameworks.

- Conduct training sessions for employees on legal and regulatory matters.

Team Leadership:

- Build and lead a high-performing legal team.

- Manage relationships with external law firms and consultants.

Qualifications & Skills:

Education: LLB/LLM from a reputed law school.

Experience: Minimum 12-15 years of legal experience, with at least 5 years in a leadership role within IT or technology sector.

Expertise: Contract law, corporate law, IT regulations, M&A, litigation management.

Skills: Strong negotiation, analytical thinking, leadership and communication skills.

Preferred Attributes:

- Familiarity with data privacy laws (GDPR, Indian DPDP Act).

- Ability to work in a fast-paced, dynamic environment.

- Fluent in Marathi
