Head - Legal & Compliance - (must be BL/LLB and Company Secretary) from Hospital & Healthcare In the role of Head of Company Secretary, Legal, and Compliance, the Individual would serve as a key figure in ensuring that the company operates within the legal framework and complies with all applicable laws and regulations. Roles and Responsibilities:- - Corporate Governance: Oversee and manage the company's corporate governance framework. - This involves organizing and managing board meetings, ensuring that board decisions are implemented, and maintaining accurate records. - Regulatory Compliance: Stay abreast of relevant laws and regulations affecting the company's operations. - Develop and implement policies and procedures to ensure compliance with these legal requirements. - Legal Affairs: Provide legal guidance to the organization, reviewing contracts, agreements, and other legal documents. Work closely with external legal counsel when necessary. Address legal issues that may arise during business operations. - Risk Management: Identify and assess legal and compliance risks. Develop strategies and policies to mitigate these risks and ensure the company operates within acceptable risk parameters. - Company Secretary Functions: Manage the company's secretarial functions, including maintaining statutory registers, handling filings with regulatory authorities, and ensuring that the company is in good standing with relevant authorities. - Ethical Standards: Uphold and promote ethical standards within the organization. Educate employees on legal and compliance matters and foster a culture of integrity and adherence to legal requirements. - Communication: Effectively communicate legal and compliance matters to senior management and other relevant stakeholders. Provide regular updates on changes in laws and regulations that may impact the company. - Team Leadership: Lead a team of legal and compliance professionals, providing guidance, support, and mentorship. Foster a collaborative and proactive approach to legal and compliance matters within the team. - Drafting and vetting of agreements and legal documents such as Franchisee Agreements, Definitive - Agreements, Term Loan Agreements, Lease Deeds, MOUs, LOIs, Joint Venture Agreements, NDAs, power of attorneys, indemnities, affidavits etc. - Liasoning with the statutory and regulatory authorities and also internally with the Operations and Project teams in obtaining various operational licenses such as AERB, PNDT, Medical Establishment License, Trade License, Shops and Establishments Act, Fire NOC etc. Dealing with banks for drafting and vetting loan agreements. - Attending and handling Litigation matters with respect to IPR violation issues, recovery of dues, cases under the negotiable instruments act, exposure in civil criminal procedure, practical exposure in handling external agencies, courts, Police, FIR, investigations. - Drafting petitions, written statements, affidavits, applications, representing before courts, tribunals on behalf of the company. Dealing with external legal counsels and professionals and maintenance of legal files, documents. - Handling IPR registrations, renewals, initiating action for infringement of IPR Advantages having below exposure/experience: - Candidate MUST be a Should be a graduate in BL/LLB and Company Secretary. - Telugu speaking will be an added advantage - Min 15 Yrs. of Corporate Experience is must. - Preference will be given to candidates having exposure in practical aspects of civil and criminal procedures in a legal firm or through private practice and also having corporate exposure. - Good Communication (Written & Spoken) skills. - Good Negotiation skills - Should be able to handle Tasks end to end independently - Team Player to Coordinate across functions within the organization and external lawyers
