For our client in Bangalore we are looking for a Head of Legal & Company Secretary. This requirement is from a large corporate group, one of a largest in India. Rest of the details can be shared once your profile is shortlisted by the recruitment team.  KEY RESPONSIBILITIES  1. Corporate, Secretarial & Compliance  A. Board Affairs :   - Conducting Board Meetings, Committee meetings and other related matters including preparation and approval of Board Meeting minutes.  - Compliance and review of Board Procedures, and provides guidance to Chairman and the Directors on their responsibilities under various laws.  - Build effective working relationships with all board members, offering impartial advice and acting in the best interests of the Company  - Periodically review whether the Board and the Company's other governance processes are fit for purpose, and consider any improvements or initiatives that could strengthen the governance of the Company.  - Disclosures and reporting.   B. Statutory responsibilities and Compliance Management :   - Secretarial Compliances - Ensuring compliance with Company law, makes the necessary filings with the Registrar of Companies  - Filing, registering any document including forms, returns and applications by and on behalf of the Company as an authorized representative  - Maintenance of secretarial records, statutory books and registers, arranging board/general/committee meetings and preparing minutes thereof.  - Continuously monitor compliance with statutory obligations and advise management accordingly.  C. Corporate and Organizational governance.  - Create best practices and the standards of corporate governance   - Advice and review of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made- there under  - Take a holistic view of the governance framework and ensure that this framework and any supporting policies and procedures are clearly documented.   D. Securities Management :   - Share Issue, Listing and Securities Management.   - Buy back of shares and other securities  - Reconciliation of shares.  - Documentation pertaining to private placement of shares and other securities, rights issue and raising of funds from international markets ADR / GDR / ECB and other FEMA related compliances.  - Compliance and adherence to rules and regulations in the securities market particularly including SEBI, Stock Exchanges and LODR.  - Ensuring compliance of the Takeover Regulations and any other laws or rules as may be applicable in this regard.  - Ensuring compliance with SEBI (Prohibition of insider Trading) Regulations, 1992 including maintenance of various documents  2. Legal  A. Policy Development :   - Develop and implement the vision and strategy for the legal department, ensure adequate legal support is provided to the business and key stakeholders in a timely manner  - Collaborate with management to devise efficient defense strategies  - Review and advise management on legal implications of internal policies and procedures.   - Build and cultivate key internal stakeholder relationships to better understand business needs and provide accurate, timely legal support to various departments  - Periodic review of contract management system and ensure standardization of contracts and error-free contracts  B. Litigation Management :   - Co-ordinating all legal matters pending in different Courts, Counsels, including designated senior counsels   - Formulate and implement a litigation strategy across all businesses by taking inputs from key stakeholders to protect the best interests of the Company  - Oversee and manage critical litigations by assessing the Company's position in disputes proposing the best possible solutions for resolution (court trials, out-of-court settlement, arbitration etc.) to ensure that the Company's legal stand is safeguarded.  - Provide guidance and direction to external counsel by providing case brief, assist in development of defence, finalize Company's stand and arguments in order to ensure that the Company is well represented in the court  - Advising on arbitration, negotiation and conciliation in commercial disputes between the parties, acting as arbitration / conciliator, drafting Arbitrator / Conciliation Agreement / Clauses.  C. Legal Documentation Services :  - Advising the Company on Compliance of legal and procedural aspects.  - Mergers, Amalgamations, Strategic Alliances, Collaborations and Joint Ventures, Competition Law, IPR Protection, Management, Valuation and Audit  - Provide legal advice and risk management services on Commercial contracts, Property and License agreements.   - Assisting in tax matters before judicial or quasi judicial forums  - Representing the Group before the Statutory or Regulatory Authorities  IDEAL CANDIDATE :  - Graduate in Law (LLB) from a Premier Institution or University & qualified Company Secretary with 15-18 years- experience in the Legal & Secretarial Aspects of a large business organization of repute  - The candidate must have managed the compliance & legal functions for an organization similar to the size of Group (4000-7000 Crores Rupee) for at least 10 years  - The candidate must be experienced in handling tenders, labour, consumer issues, real estate, litigation at Courts of Law and interacting with Senior Counsels.  - Proven expertise in local laws and dealing with Senior Government Officials  - Independently manage Corporate Secretarial affairs   - Candidates aged around 40 - 50 years preferred.  REPORTING RELATIONSHIP :   - The position will report to the Managing Director with the Legal & Secretarial team of the Group reporting to the incumbent.  TARGETED ANNUAL COMPENSATION - Best in the Industry   LOCATION - Bengaluru
