Key Responsibilities
Corporate Governance & Secretarial Functions
- Ensure compliance with the Companies Act, SEBI, FEMA, RBI, IBC, and other statutory requirements.
- Act as the primary point of contact between the companys Board of Directors, regulators, and stakeholders.
- Organize and manage Board meetings, committee meetings, and annual general meetings, including preparing agendas, drafting minutes, and maintaining statutory registers/records.
- Advise the Board on best corporate governance practices, ethics, and compliance standards.
Legal Advisory & Risk Management
- Provide strategic legal advice on business decisions, transactions, and partnerships.
- Draft, review, and negotiate commercial contracts, MoUs, NDAs, vendor agreements, and other legal documents.
- Handle legal disputes, litigation, arbitration, and liaise with external legal counsel as required.
- Anticipate potential legal risks, provide preventive measures, and ensure timely resolution of compliance issues.
Compliance Management
- Establish, monitor, and enforce compliance programs across the organization.
- Ensure adherence to industry regulations, labor laws, data protection, anti-bribery, and anti-money laundering policies.
- Conduct periodic compliance audits and risk assessments.
- Implement systems for timely statutory filings, regulatory submissions, and disclosures.
Stakeholder & Regulatory Liaison
- Act as the nodal officer for interactions with regulators (MCA, SEBI, RBI, stock exchanges, etc.
- Build and maintain relationships with auditors, legal advisors, and government authorities.
- Ensure transparent communication and timely regulatory reporting.
Leadership & Strategy
- Lead and mentor the legal & compliance team.
- Partner with business units to embed compliance into daily operations and business growth strategies.
- Support mergers, acquisitions, investments, and restructuring from a legal and compliance perspective.
- Promote a culture of integrity, transparency, and ethical conduct across the organization.
Qualifications & Skills
- Professional Qualification: Company Secretary (ACS/FCS) Mandatory.
- Additional Qualification: LLB/LLM preferred.
- Strong knowledge of corporate, commercial, and regulatory laws.
- Experience in handling compliance frameworks in listed/unlisted companies.
- Proven expertise in managing Board governance and legal advisory at a strategic level.
- Excellent drafting, negotiation, and communication skills.
- Strong leadership, integrity, and stakeholder management capabilities.
- Ability to work in fast-paced, dynamic business environments with sound judgment and decision-making
