Role Overview

We are seeking a highly motivated and experienced professional for the position of Head Legal & Company Secretary. The ideal candidate will play a pivotal role in leading legal strategy, ensuring compliance, and actively contributing to the upcoming company's IPO. This position requires strong leadership, cross-functional collaboration, and end-to-end exposure to corporate governance, legal advisory, and compliance management.

Key Responsibilities

A) IPO Readiness & Corporate Governance

- Actively support and manage the upcoming company's IPO, including regulatory compliance, documentation, and coordination with external partners.

- Ensure robust corporate governance practices across the organization.

B) Compliance & Monitoring

- Oversee compliance with statutory and legal obligations.

- Continuously review ongoing cases and provide guidance to management.

- Formulate and maintain compliance checklists to ensure adherence across departments.

C) Legal Advisory & Risk Management

- Identify legal risks and recommend mitigation strategies in coordination with relevant departments.

- Provide legal protection and risk management support, especially in contract and commercial matters.

D) Contract Management

- Draft, review, and negotiate a wide range of contracts and agreements.

- Ensure all contracts and internal policies comply with legal and statutory requirements.

E) Litigation Management

- Monitor progress of litigation matters and coordinate with external counsel.

- Aim to rationalize and reduce external legal spend and overall litigation.

F) Reporting & Documentation

- Prepare monthly and quarterly legal and compliance reports for management.

- Maintain accurate legal records and documentation.

G) Training & Governance

- Provide legal awareness, training, and corporate governance guidance to employees and contract workforce.

- Communicate legal updates and ensure organizational compliance culture.

H) Stakeholder Management

- Engage effectively with internal and external stakeholders, including leadership teams, government bodies, regulators, and external legal partners.

Mandatory Skills Required

- CS + LLB from a recognized institute with 8-10 years of experience.

- Mandatory hands-on IPO experience.

- Strong exposure in mid or small-sized organizations with broad, 360-degree responsibilities.

- Excellent communication skills (oral & written).

- Strong problem-solving, decision-making, and multitasking ability.

- High levels of ethics, integrity, and compliance leadership.

- Ability to manage complex legal issues independently and proactively.

- Experience interacting with senior leaders and cross-functional teams.
